Term Out Notice definition

Term Out Notice has the meaning assigned to such term in Section 2.09(f).
Term Out Notice has the meaning given to that term in Clause 6.2 (Term Out Option).
Term Out Notice means a notice substantially in the form set out in Part III of Schedule 2 (Requests).

  • If the Borrower has given the Term Out Notice, the lesser of (i) the Conversion Amount and (ii) the Revolving Loans outstanding on the Maturity Date shall automatically convert to Term Loans on the Maturity Date with each Lender being deemed to have made its Applicable Percentage of such Term Loans, and the Administrative Agent shall promptly notify each Lender of the principal amount thereof.
