Term of the Research Collaboration definition

Term of the Research Collaboration shall have the meaning set forth in Section 1.3.
Term of the Research Collaboration means the period commencing on the Effective Date, and terminating on the second anniversary of the Effective Date, unless extended by mutual agreement of the Parties in accordance with Section 2.10.

  • If either party files a voluntary petition in bankruptcy, is adjudicated a bankrupt, makes a general assignment for the benefit of creditors, admits in writing that it is insolvent or fails to discharge within 15 days an involuntary petition in bankruptcy filed against it, then the other party will have 60 days to determine whether or not (a) the Term of the Research Collaboration shall immediately terminate and/or (b) the Term of Co-Promotion shall immediately terminate.

  • Upon the determination by Lilly of achievement of the Phase 1B Acceptance Criteria but in no event later than the end of the Term of the Research Collaboration, SGX will assign to Lilly its entire right, title and interest in and to the Platform components procured by SGX on behalf of Lilly under Section 3.2(a), installed at the Lilly San Diego Facility, including without limitation, assignment of Third Party warranties and service contracts where permitted.

  • Pursuant to Section 2.2 (Collaboration Term) of the Research Agreement, the Initial Term of the Research Collaboration expired on May 1, 2011.

  • At least quarterly during the Term of the Research Collaboration SGX will have the obligation to prepare and provide to the JSC a detailed written report summarizing the progress of the work performed by SGX in the course of the Research Collaboration during the preceding quarter.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Research Term has the meaning set forth in Section 3.2.

  • Collaboration Term has the meaning specified in Section 2.1.2 hereof.

  • Research Period means the research period as described in the Commissioned Research Plan. In accordance with the provisions of this Agreement, in the event that the Agreement ended prior to the completion date of the research originally set, the date the Agreement ends shall be read as the research period.

  • Research Program has the meaning set forth in Section 2.1.

  • Collaboration has the meaning set forth in Section 2.1.

  • Collaboration Know-How means all Know-How and Materials discovered, created, conceived, developed or reduced to practice in the course of performing activities under the Collaboration Program (whether solely by one Party or jointly by the Parties, in each case with their Affiliates or any Third Parties or any employees, consultants or agents of any of the foregoing which perform activities under the Collaboration Program).

  • Research Use shall have the meaning given in Section 2.2.2 of this Agreement.

  • Research facility means buildings and structures, including machinery and equipment, used or to be used primarily for research or experimentation to improve or develop new tangible goods or materials or to improve or develop the production processes thereto.

  • Development Program means the implementation of the development plan.

  • Development Term means the period commencing on the Closing Date and ending on the earlier of (a) the Option Closing Date or (b) the date the Option terminates or expires other than by exercise.

  • Development Phase means the period before a vehicle type is type approved.

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Development Period means the period from the date of this Agreement until the Appointed Date;

  • Research Project means a discrete scientific endeavor to answer a research question or a set of research questions related to medical marijuana and is required for a medical marijuana research license.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Development Works means the external development works and internal development works on immovable property;

  • Development Activities means those activities which are normally undertaken for the development, construction, rehabilitation or conversion of buildings for residential purposes, including the acquisition of property;

  • Commercialization or “Commercialize” means any and all activities undertaken at any time for a particular Licensed Product and that relate to the manufacturing, marketing, promoting, distributing, importing or exporting for sale, offering for sale, and selling of the Licensed Product, and interacting with Regulatory Authorities regarding the foregoing.

  • Research Budget has the meaning set forth in Section 4.2.

  • Development Work means the conduct of preclinical and clinical trials, the compilation of the regulatory dossier concerning Licensed Products and the conduct of other work necessary or useful for obtaining Regulatory Approval of Licensed Products.

  • Research License means a nontransferable, nonexclusive license to make and to use the Licensed Products or the Licensed Processes as defined by the Licensed Patent Rights for purposes of research and not for purposes of commercial manufacture or distribution or in lieu of purchase.
