Term Loan Guarantee definition

Term Loan Guarantee means any guarantee by any Loan Party of any or all of the Term Loan Obligations.
Term Loan Guarantee means that certain Guarantee, dated as of August 21, 2013 (as amended, novated, supplemented, extended or restated from time to time) by the Term Loan Guarantors in favor of the Propco I Agent for the benefit of the Guaranteed Parties (as such term is defined in the Propco I Credit Agreement) pursuant to which each of the Term Loan Guarantors jointly and severally guaranteed the Propco I Term Loan.
Term Loan Guarantee shall have the meaning assigned to such term in the recitals hereto.

More Definitions of Term Loan Guarantee

Term Loan Guarantee means the guarantee of the Term Loans by each Guarantor pursuant to Article XII hereof and any additional guarantee of Term Loans to be executed by any Restricted Subsidiary pursuant to this Agreement.
Term Loan Guarantee is defined in Recital D of this Agreement.
Term Loan Guarantee has the meaning assigned to such term in Section 2.01A.
Term Loan Guarantee means any First Lien Term Loan Guarantee and any Second Lien Term Loan Guarantee.
Term Loan Guarantee means that certain term loan guarantee, dated February 13, 2008, among Holdings, Borrower (as successor by merger to CHILL ACQUISITION, INC.), Mortgagor and the other guarantors referred to therein, and Mortgagee as collateral agent for the Secured Parties, as the same may hereafter be amended, amended and restated, supplemented or otherwise modified from time to time. The obligations of the Lenders to make Loans are conditioned upon, among other things, the execution and delivery by Mortgagor of this Mortgage in the form hereof to secure the Obligations (as defined below). Pursuant to the requirements of the Term Loan Credit Agreement, Mortgagor is granting this Mortgage to create a lien on and a security interest in the Mortgaged Property (as hereinafter defined) to secure the performance and payment by Mortgagor of the Obligations (as defined in the [Term Loan Credit Agreement / Term Loan Security Agreement]6). Pursuant to the Term Loan Credit Agreement, the amount of Mortgagor’s indebtedness thereunder may increase and decrease from time to time as the Secured Parties advance, Mortgagor repays, and the Secured Parties may make Incremental Facilities available, all as more fully described in the Term Loan Credit Agreement. For purposes of this Mortgage, so long as the balance of the Obligations equals or exceeds $[ ] (the “Secured Amount”), the amount of the Obligations secured by this Mortgage shall at all times equal only the Secured Amount. The Secured Amount represents only a portion of the first sums advanced by the Secured Parties in respect of the Obligations. The Secured Amount shall be reduced only by the last and final sums that Borrower repays with respect to the Obligations and shall not be reduced by any intervening repayments of the Obligations.   • Loan guarantee means the Guarantee by each Guarantor of the Obligations (other than any Obligations with respect to Swap Contracts of Treasury Services Agreements), executed pursuant to the provisions of the Facility Guaranty.

The amount of any Guarantee shall be deemed to be an amount equal to the stated or determinable amount of the related primary obligation, or portion thereof, in respect of which such Guarantee is made or, if not stated or determinable, the maximum reasonably anticipated liability in respect thereof as determined by the guaranteeing Person in good faith. The term “Guarantee” as a verb has a corresponding meaning.

  • Swap Guarantee If so specified in the Supplement with respect to any Series, the guarantee issued by the Swap Guarantor in favor of the Trust substantially in the form attached as an exhibit to the Swap Agreement.

  • Permitted SBIC Guarantee means a guarantee by the Borrower of Indebtedness of an SBIC Subsidiary on the SBA’s then applicable form, provided that the recourse to the Borrower thereunder is expressly limited only to periods after the occurrence of an event or condition that is an impermissible change in the control of such SBIC Subsidiary (it being understood that, as provided in clause (s) of Article VII, it shall be an Event of Default hereunder if any such event or condition giving rise to such recourse occurs).

  • Foreign Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in a foreign country, and meets all of the provisions of Tariff, Attachment Q. Form 715 Planning Criteria: “Form 715 Planning Criteria” shall have the same meaning provided in the Operating Agreement.

  • Subsidiary Guaranty Agreement means each unconditional guaranty agreement executed by the Subsidiary Guarantors in favor of the Administrative Agent for the ratable benefit of the Secured Parties, substantially in the form of Exhibit H, as amended, restated, supplemented or otherwise modified from time to time.

  • Canadian Guarantor means any Guarantor that is a Canadian Subsidiary.

  • Qualifying Guarantee means an arrangement evidenced by a written instrument pursuant to which a Reference Entity irrevocably agrees (by guarantee of payment or equivalent legal arrangement) to pay all amounts due under an obligation (the “Underlying Obligation”) for which another party is the obligor (the “Underlying Obligor”). Qualifying Guarantees shall exclude any arrangement (i) structured as a surety bond, financial guarantee insurance policy, letter of credit or equivalent legal arrangement or (ii) pursuant to the terms of which the payment obligations of the Reference Entity can be discharged, reduced or otherwise altered or assigned (other than by operation of law) as a result of the occurrence or non-occurrence of an event or circumstance (other than payment). The benefit of a Qualifying Guarantee must be capable of being delivered together with the delivery of the Underlying Obligation.

  • Subsidiary Loan Agreement means the agreement to be entered into between the Borrower and ECTEL pursuant to Section 3.01(b) of this Agreement, as the same may be amended from time to time; and such term includes all schedules to the Subsidiary Loan Agreement;

  • U.S. Guaranty means (a) the guaranty made by the Parent Borrower, Holdings and the other Guarantors in favor of the Administrative Agent on behalf of the Secured Parties pursuant to clause (b)(i) and (iii) of the definition of “Collateral and Guarantee Requirement,” substantially in the form of Exhibit F-1 and (b) each other guaranty and guaranty supplement delivered pursuant to Section 6.11(a)(i).
