Temporary Global Securities definition

Temporary Global Securities has the meaning specified in Section 305.
Temporary Global Securities means the Temporary Bearer Global Security and the Temporary Registered Global Security.
Temporary Global Securities. One or more temporary global securities for each Class of Co-Issued Notes in definitive, fully registered form without interest coupons.

  • You should be aware that Temporary Global Securities will not be exchangeable for Definitive Bearer Securities, unless there is a default of the relevant clearing system and no alternative clearing system is found.

  • The relevant Issuer may, at its option, deliver from time to time to the Fiscal Agent a stock of Master Temporary Global Securities and Master Permanent Global Securities.

  • Each of the Issuers has delivered to the Fiscal Agent a stock of Master Temporary Global Securities and Master Permanent Global Securities (in unauthenticated form but executed on behalf of the relevant Issuer) based on the forms appearing in Schedules 6 (Form of Temporary Global Security) and 7 (Form of Permanent Global Security), respectively.

  • On or after the Exchange Date, interests in Temporary Global Securities will be exchangeable for interests in a Regulation S Global Security of the same Class upon certification that the beneficial interests in such Temporary Global Security are owned by persons or entities who are not U.S. persons.

  • Transfers of interests in such Temporary Global Securities or Permanent Global Securities will be made in accordance with the normal Euromarket debt securities operating procedures of Euroclear and Clearstream or, if appropriate, the alternative clearing system.

  • Bearer Notes represented by Temporary Global Securities or Permanent Global Securities will be delivered to a common safekeeper (the "Common Safekeeper") for Euroclear and/or Clearstream, Luxembourg, if in NGN form.

  • Prior to the Exchange Date, Temporary Global Securities may not be transferred to Persons taking delivery of a Rule 144A Global Security (in the case of Secured Notes) or a Certificated Security.

Related to Temporary Global Securities

  • Temporary Global Note means a global note in the form or substantially in the form set out in Part 1 of Schedule 6 together with the copy of the applicable Final Terms attached to it with such modifications (if any) as may be agreed between the Issuer, the Agent and the relevant Dealer, comprising some or all of the Notes of the same Series issued by the Issuer under the Programme Agreement or any other agreement between the Issuer and the relevant Dealer; Tranche means Notes which are identical in all respects (including as to listing); and

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depositary for such Series or its nominee, and registered in the name of such Depositary or nominee.

  • Regulation S Global Securities Appendix A

  • Regulation S Temporary Global Note means a temporary Global Note in the form of Exhibit A hereto, bearing the Global Note Legend, the Private Placement Legend and the Regulation S Temporary Global Note Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes initially sold in reliance on Rule 903.

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.

  • Regulation S Temporary Global Note Legend means the legend set forth in Section 2.06(g)(iii) hereof.

  • Global Security means a Security issued to evidence all or a part of any series of Securities which is executed by the Company and authenticated and delivered by the Trustee to the Depositary or pursuant to the Depositary’s instruction, all in accordance with the Indenture, which shall be registered in the name of the Depositary or its nominee.

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • Global Securities Legend means the legend set forth under that caption in Exhibit A to this Indenture.

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Global Notes Legend means the legend set forth under that caption in the applicable Exhibit to this Indenture.

  • Definitive Securities means Bearer Securities in definitive form and includes any replacement ETP Security issued pursuant to these Conditions.

  • Regulation S Global Notes has the meaning set forth in Section 2.16.

  • Restricted Global Security As defined in Section 3.01(c).

  • Physical Notes means permanent certificated Notes in registered form issued in denominations of $1,000 principal amount and integral multiples thereof.
