Temporary Global Certificates definition

Temporary Global Certificates. ’ means temporary global certificates representing the Trust Preferred Securities.
Temporary Global Certificates shall have the meaning specified in ----------------------------- subsection 6.15(b) of the Agreement.
Temporary Global Certificates means temporary global certificates representing the Trust Preferred Securities substantially in the form attached hereto as Exhibit A-1.

Examples of Temporary Global Certificates in a sentence

  • Simultaneously with the authentication of the Regulation S Permanent Global Certificates, the Trustee shall cancel the Regulation S Temporary Global Certificates.

  • The Instruments shall initially be represented by one or more Temporary Global Certificates in the nominal amount of the Tranche being issued.

  • The aggregate principal amount of the Regulation S Temporary Global Certificates and the Regulation S Permanent Global Certificates may from time to time be increased or decreased by adjustments made on the records of the Certificate Registrar and the Depository or its nominee, as the case may be, in connection with transfers of interest as hereinafter provided.

  • The Certificates represented by this Global Certificate were represented originally by one or more Temporary Global Certificates (each Tranche of Certificates comprised in the Series of Certificates to which this Global Certificate relates having been represented originally by one Temporary Global Certificate).

  • Following the termination of the 40 day distribution compliance period, beneficial interests in the Regulation S Temporary Global Certificates shall be exchanged for beneficial interests in permanent Global Certificates (the "Regulation S Permanent Global Certificates"), which will be deposited with the Trustee, as custodian, and registered in the name of a nominee of the Depository.

  • The Trustee (or any Authenticating Agent) shall execute, authenticate and deliver the Regulation S Temporary Global Certificates in accordance with Section 5.1(e).

  • Certificates sold in offshore transactions in reliance on Regulation S shall be represented initially by temporary Book-Entry Certificates (the "Regulation S ------------ Temporary Global Certificates"), in registered form, without interest coupons.

  • The Trust Preferred Securities, shall be issued initially in the form of one or more fully registered Temporary Global Certificates to be deposited with a custodian for the Common Depositary or its nominee by, or on behalf of, the Trust.

  • Following the termination of the 40 day distribution compliance period, beneficial interests in the Regulation S Temporary Global Certificates shall be exchanged for beneficial interests in permanent Global Certificates (the "Regulation S Permanent Global 87 Certificates"), which will be deposited with the Trustee, as custodian, and registered in the name of a nominee of the Depository.

  • The Trust Preferred Securities shall be issued in the form of one or more Temporary Global Certificates and, on or after the first Business Day following the 40th day after the later of the Closing Date and the completion of the distribution of the Trust Preferred Securities (the “ Exchange Date”), upon certification that the beneficial interests in such Global Trust Preferred Securities are owned by persons who are not U.S. persons, shall be exchangeable for one or more Permanent Global Certificates.

  • Global Certificates Any Certificate registered in the name of the Depository or its nominee.

  • Regulation S Temporary Global Security with respect to any series of Securities, means one or more temporary Global Securities, bearing the Private Placement Legend and the Regulation S Temporary Global Security Legend, issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold, if required by Rule 903 of Regulation S.

  • Temporary Global Note means a global note in the form or substantially in the form set out in Part 1 of Schedule 6 together with the copy of the applicable Final Terms attached to it with such modifications (if any) as may be agreed between the Issuer, the Agent and the relevant Dealer, comprising some or all of the Notes of the same Series issued by the Issuer under the Programme Agreement or any other agreement between the Issuer and the relevant Dealer; Tranche means Notes which are identical in all respects (including as to listing); and

  • Regulation S Temporary Global Note means a temporary Global Note in the form of Exhibit A hereto, bearing the Global Note Legend, the Private Placement Legend and the Regulation S Temporary Global Note Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes initially sold in reliance on Rule 903.

  • Rule 144A Global Certificates As defined in Section 5.02(c)(ii) of this Agreement.

  • Global Certificate Any Private Certificate registered in the name of the Depository or its nominee, beneficial interests in which are reflected on the books of the Depository or on the books of a Person maintaining an account with such Depository (directly or as an indirect participant in accordance with the rules of such depository).

  • Regulation S Global Certificate With respect to any Class of Book-Entry Non-Registered Certificates offered and sold outside of the United States in reliance on Regulation S, a single global Certificate, or multiple global Certificates collectively, in definitive, fully registered form without interest coupon, each of which Certificates bears a Regulation S Legend.

  • Definitive Capital Securities Certificates means either or both (as the context requires) of (i) Capital Securities Certificates issued as Book-Entry Capital Securities Certificates as provided in Section 5.11, and (ii) Capital Securities Certificates issued in certificated, fully registered form as provided in Section 5.13.

  • Regulation S Temporary Global Note Legend means the legend set forth in Section 2.06(g)(iii) hereof.

  • Rule 144A Global Certificate With respect to any Class of Book-Entry Certificates, a single global Certificate, or multiple global Certificates collectively, registered in the name of the Depository or its nominee, in definitive, fully registered form without interest coupons, each of which Certificates bears a Qualified Institutional Buyer CUSIP number and does not bear a Regulation S Legend.

  • Regulation S Permanent Global Security with respect to any series of Securities, means one or more permanent Global Securities bearing the Private Placement Legend, that will be issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold or, if required by Rule 903 of Regulation S, of the Regulation S Temporary Global Security of such series upon expiration of the Distribution Compliance Period with respect to such series, as the case may be.

  • Regulation S Global Securities Appendix A

  • Restricted Global Certificate Has the meaning specified in Section 3.01(c).

  • Temporary Regulation S Global Note means a temporary Global Note in the form of Exhibit A hereof bearing the Global Note Legend, the Private Placement Legend, and the Temporary Regulation S Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes sold in reliance on Rule 903.

  • Definitive Trust Certificates shall have the meaning set forth in Section 3.10.

  • Definitive Capital Securities means any Capital Securities in definitive form issued by the Trust.

  • Definitive Preferred Securities Certificates means Preferred Securities issued in certificated, fully registered form that are not Global Preferred Securities.

  • Temporary Certificate means a certificate issued pursuant to subdivision (d) of section 7 of this local law.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • Temporary Offshore Global Note means an Offshore Global Note that bears the Temporary Offshore Global Note Legend.

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.
