Temporary Global Certificate definition

Temporary Global Certificate means a Global Certificate representing Registered Notes of a Tranche on issue and which shall be substantially in the form set out in Schedule 1 Part F
Temporary Global Certificate means a temporary Global Certificate in the form set out in Part A of Schedule 1 hereto, bearing the Temporary Global Certificate Legend;
Temporary Global Certificate means a temporary Certificate, issued to HSBC Issuer Services Common Depositary Nominee (UK) Limited and registered in the name of HSBC Issuer Services Common Depositary Nominee (UK) Limited or its nominee in substantially the form of Exhibit A.

  • No such election may however be made unless the transfer of the whole or a part of the holding of Notes represented by this Temporary Global Certificate shall have been improperly withheld or refused.

  • For the purposes of any meeting of Noteholders, the holder of the Notes represented by this Temporary Global Certificate shall (unless this Temporary Global Certificate represents only one Note) be treated as two persons for the purposes of any quorum requirements of a meeting of Noteholders and as being entitled to one vote in respect of each integral currency unit of the Specified Currency of the Notes represented by this Temporary Global Certificate.

  • This Temporary Global Certificate shall be governed by and construed in accordance with English law and the Issuer irrevocably submits to the jurisdiction of the English courts in London in connection herewith.

  • In witness whereof the Issuer has caused this Temporary Global Certificate to be signed on its behalf.

  • This Temporary Global Certificate shall not become valid for any purpose until authenticated by or on behalf of the Registrar, and in the case of Registered Notes held under the NSS only, effectuated by the entity appointed as Common Safekeeper by the relevant Clearing Systems.


More Definitions of Temporary Global Certificate

Temporary Global Certificate means a temporary Global Certificate which will be exchangeable for the Permanent Global Certificate not earlier than 40 days after the Closing Date upon certification of non-U.S. beneficial ownership.
Temporary Global Certificate means a certificate substantially in the form set out in Part A of Schedule 1 (including the Temporary Global Certificate Legend set out in Part A of Schedule 1) representing Notes that are registered in the name of a nominee for Euroclear, Clearstream, Luxembourg and/or any other clearing system; and

Related to Temporary Global Certificate

  • Temporary Global Note means a global note in the form or substantially in the form set out in Part 1 of Schedule 6 together with the copy of the applicable Final Terms attached to it with such modifications (if any) as may be agreed between the Issuer, the Agent and the relevant Dealer, comprising some or all of the Notes of the same Series issued by the Issuer under the Programme Agreement or any other agreement between the Issuer and the relevant Dealer; Tranche means Notes which are identical in all respects (including as to listing); and

  • Regulation S Temporary Global Note means a temporary Global Note in the form of Exhibit A hereto, bearing the Global Note Legend, the Private Placement Legend and the Regulation S Temporary Global Note Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes initially sold in reliance on Rule 903.

  • Global Certificate Any Private Certificate registered in the name of the Depository or its nominee, beneficial interests in which are reflected on the books of the Depository or on the books of a Person maintaining an account with such Depository (directly or as an indirect participant in accordance with the rules of such depository).

  • Restricted Global Certificate Has the meaning specified in Section 3.01(c).

  • Regulation S Temporary Global Note Legend means the legend set forth in Section 2.06(g)(iii) hereof.
