Notwithstanding the foregoing, if all the conditions to the completion of the Amalgamation Agreement have been satisfied by TCC Spinco and the Optionee prior to the Expiry Date, then the Optionee must forthwith, and in any event prior to the completion of the amalgamation of the Optionee and Newco contemplated by the Amalgamation Agreement, exercise the Option and pay the Exercise Price to the Optionor (the “Acceleration Provision”).
ASEP, NewCo, and TCC SpinCo will effect the Amalgamation on the terms and subject to the conditions contained in this Agreement.
The Closing will take place on the Closing Date in the offices of Cxxxx Xxxxxx LLP located at 900 – 000 Xxxx Xxxxxxx Xxxxxx, Xxxxxxxxx, Xxxxxxx Xxxxxxxx, X0X 0X0, counsel to TCC SpinCo, or at any other place as the Parties may agree in writing.

The obligations of ASEP, NewCo and TCC SpinCo to obtain the consents referred to in this Article 7 will not survive the completion of the Transaction and will merge without recourse between the Parties upon such completion.
