Tax Structure definition

Tax Structure has the meaning ascribed to it in Section 12.8.
Tax Structure shall have the meaning set forth in Section 7.2(c) hereof.
Tax Structure means the structure of the Restructuring Transactions to provide for a tax-efficient implementation acceptable to the Company Parties and the Initial Plan Sponsor.

Examples of Tax Structure in a sentence

  • The preceding sentence is intended to cause the Tax Structure to be treated as not having been offered under conditions of confidentiality for purposes of Section 1.6011-4(b)(3) (or any successor provision) of the Treasury Regulations promulgated under Section 6011 of the IRC, and shall be construed in a manner consistent with such purpose.

More Definitions of Tax Structure

Tax Structure shall have the meaning set forth in Section 5.3.1.
Tax Structure means the manner, order or form in which the Transactions (currently as contemplated or as amended prior to the Closing) are effected pursuant to the Master Agreement or any Transaction Agreement.
Tax Structure means any fact that may be relevant to understanding the federal income tax treatment of the transaction.
