Tax Protection Period Transfer definition

Tax Protection Period Transfer has the meaning set forth in Section 2.1(a).

  • In the event of a Tax Protection Period Transfer described in Section 2.1(a), each Protected Partner shall, within 30 days after the closing of such Tax Protection Period Transfer, receive from the Operating Partnership an interest-free cash loan in an amount equal to the estimated Make Whole Amount applicable to such Tax Protection Period Transfer.

  • In the event that the Operating Partnership breaches Section 2.1, the Operating Partnership shall pay to each Protected Partner an amount of cash equal to such Partner’s estimated Make Whole Amount no later than the thirteenth (13th) day after the end of the quarter in which such Tax Protection Period Transfer took place.

  • CIC Protection Period means the two-year period beginning on the date of a Change in Control and ending on the day before the second annual anniversary of the date of the Change in Control.

  • Periodic Term SOFR Determination Day has the meaning specified in the definition of “Term SOFR”.

  • Allocation Period means (a) the period commencing on February 10, 2016 and ending on December 31, 2016, (b) any subsequent period commencing on January 1 and ending on the following December 31, or (c) any portion of the period described in clause (a) or (b) for which the Partnership is required to allocate Net Profits, Net Losses, and other items of Partnership income, gain, loss or deduction pursuant to ARTICLE IV.

  • Notification Date means 30 days from an Account statement date (see section 6.3).
