Tax Election Form means an Election on Disposition of Property by a Taxpayer to a Canadian Partnership (printed on blue paper) included with this Information Circular to be completed by Electing Shareholders and returned to Maplewood LP as described under “The Qualifying TransactionClass B LP Unit Election”;

  • Notwithstanding anything contained in this Agreement to the contrary, Transferee's execution and delivery of the Section 83(b) Tax Election Form shall be a condition precedent to Transferor's obligation as may otherwise be provided hereunder to Transfer Units to Transferee, and the failure of Transferee to satisfy such requirement with respect to the Units shall cause such Units to be forfeited in accordance with Section 4 hereof.

  • On the date of Transfer of Units to Transferee pursuant to this Agreement, Transferee shall execute three copies of a Section 83(b) Tax Election Form, substantially in the form attached as Annex B hereto with respect to the Units received.

  • The Purchaser shall not be liable for any damages arising to a Shareholder for a late filing of a Tax Election Form or any errors or omissions on a Tax Election Form.

  • It shall be the sole responsibility of the Shareholder making the request to file the Tax Election Form with the Canada Revenue Agency or relevant provincial Governmental Authority.

  • Notwithstanding anything contained in this Agreement to the contrary, Transferee's filing and delivery of the Section 83(b) Tax Election Form shall be a condition precedent to Transferor's obligation as may otherwise be provided hereunder to provide Units to Transferee, and the failure of Transferee to satisfy such requirement with respect to the Units shall cause such Units to be forfeited in accordance with Section 4 hereof.

  • For Shareholders that answer “Yes” to this question, Western Goldfields will prepare a Quebec Tax Election Form based on the information provided by the Shareholder in the Worksheet, and send the Quebec Tax Election Form to the Shareholder for filing with the Quebec taxation authority.

  • Please note: that such Shareholder will have to file the Quebec Tax Election Form with the Quebec taxation authority, in addition to filing the Federal Tax Election Form with the CRA.

  • Election Form means the form established from time to time by the Committee that a Participant completes, signs and returns to the Committee to make an election under the Plan.
