Tax Certificates means any certificates of officers of Air Products and Versum, provided to Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, or any other law or accounting firm in connection with any Tax Opinion.

Examples of Tax Certificates in a sentence
If Parent determines to effectuate the Distribution, Parent, on behalf of itself and all other members of the Parent Group, and Centuri, on behalf of itself and all other members of the Centuri Group, hereby agree to make certain representations and warranties and to provide any Tax Certificates requested by any Tax Advisor in connection with the rendering of any Tax Opinion related to the Tax-Free Status of the Distribution.
