Target Shares definition
Target Shares means common shares in the capital of Target, as currently constituted;
Target Shares means all of the issued and to be issued ordinary share capital of the Target at the date of the offer.

Except as disclosed on Disclosure Schedule 3.2(c) hereto, as of the Effective Date, there are no outstanding bonds, debentures, or other evidence of indebtedness of Target encumbering the Target Shares.
All outstanding Target Shares have been authorized and are validly issued and outstanding as fully paid and non-assessable shares, free of pre-emptive rights.
The cumulative total of Purchased Shares set out in Schedule “A” hereto constitutes all of the Target Shares outstanding.
There are no outstanding contractual obligations of Target to repurchase, redeem or otherwise acquire any outstanding Target Shares or with respect to the voting or disposition of any outstanding Target Shares.
More Definitions of Target Shares
Target Shares means the ordinary shares of the Target, the subject of an Offer or, as the case may be, a Scheme.
Target Shares means all of the issued and unconditionally allotted ordinary shares in the Target and any further such shares which may be issued or unconditionally allotted pursuant to the exercise of any subscription or conversion rights, options or otherwise.
Target Shares means the shares the subject of the Offer, being all of the issued shares in the capital of the Target (including any Treasury Stock and any shares of the Target issued while the Offer remains open for acceptance and any shares represented by ADRs) and any such shares issued or to be issued following the exercise of any stock options.
Target Shares means the Capital Stock of Target proposed to be acquired by the Company and/or its Restricted Subsidiaries in connection with the Acquisition (for the avoidance of doubt including acquisitions thereof subsequent to the Acquisition Closing Date).
Target Shares means the then-outstanding shares of Common Stock not owned by the Investor Parties; and “Target Stockholders” means the stockholders of the Company other than the Investor Parties.
Target Shares means the actual number of shares originally granted to the Participant as specified in this Award Agreement.
Target Shares means any share of the common stock, no par value per share of Target.
