Target Incentive definition

Target Incentive means the maximum amount payable to the Employee at the end of a calendar period under any Company bonus or incentive program if all of such program’s corporate and individual performance objectives for that period are met. “Target Incentive” does not include amounts payable under the Company’s 3-year bonus program, long-term incentive plan or similar plan or program.
Target Incentive means, with respect to a Participant for a fiscal year, the Target Incentive for such Participant for such fiscal year as determined by the Committee in the case of Participants who are Executive Officers of the Company at the time of determination, and, in all other cases, by the Chief Executive Officer or his designee.
Target Incentive as of a certain date means an amount equal to the product of Base Salary determined as of such date multiplied by the percentage of such Base Salary to which Executive would have been entitled immediately prior to such date under the Incentive Plan for the applicable performance period if the performance goals established pursuant to such Incentive Plan were achieved at the 100% (target) level as of the end of the applicable performance period (taking into account for this purpose any negative discretion exercised by the Compensation Committee of the Board in establishing such target); provided, however, that any reduction in Executive’s Base Salary or Annual Incentive that would qualify as Good Reason shall be disregarded for purposes of this definition.

  • The Employee shall be entitled to receive a percentage of the Employee's Target Incentive for the calendar year in which such termination occurs.

  • During the Extended Employment Period, any annual incentive compensation payable to Executive shall be paid in accordance with the Company's usual practices with respect to payment of incentive compensation of senior executives, including, without limitation, the Company's Senior Management Target Incentive Plan and Salaried Employee Incentive Plan (except to the extent deferred).

  • The award of the Target Incentive Bonus may be in an amount either above or below the amount specified by the Board at the beginning of each fiscal year based on the ultimate performance assessed by the Board.

  • In the event that the Company has notified the Executive in writing that the Executive will be eligible for a Target Incentive Bonus for the year of termination, but a plan has not yet been put into effect, the Target Incentive Bonus shall be the prior year’s target annual incentive bonus amount.

  • Beginning with the Company's current fiscal year and for each fiscal year thereafter during the term of this Agreement, the Employee shall be eligible to receive an annual bonus under the Company's annual incentive plan (the "Annual Incentive") based upon performance targets approved by the Compensation Committee of the Board (the "Target Incentive") in its sole discretion.

Target Incentive means the percentage of Base Salary Rate at risk by a Participant for 100% or full achievement of the applicable Financial Goal(s).
Target Incentive means a Participant’s yearly target level cash incentive under the Company’s AIP or SIP, or quarterly target level cash incentive under the Company’s FSIP (or such successor plan(s)), for the avoidance of doubt determined without regard to any reduction in the Participant’s salary or target level.

Target Incentive means an Employee’s target incentive for any given year under the Company’s annual incentive plan applicable to the Employee immediately preceding his or her termination. Notwithstanding the foregoing sentence, in the event of a Termination Due to Change of Control, Target Incentive shall mean the greater of the Target Incentive described in the preceding sentence or the Target Incentive in effect immediately preceding the Change of Control.
Target Incentive means a target payment, expressed as a dollar value, of an Award to a Participant, payable in Shares.

Target Incentive means the target incentive established for a Participant under the annual sales incentive plan or annual incentive plan in which he participates with respect to the fiscal year in which his termination of employment occurs, or, if higher, with respect to the fiscal year immediately preceding the fiscal year in which occurs the first event which constitutes Good Reason.
