Target Fund definition

Target Fund means each series of the Target Company listed in the column entitled “Target Fund” on Exhibit A.
Target Fund is a "fund" as defined in section 851(g)(2) of the Code; it qualified for treatment as a regulated investment company under Subchapter M of the Code ("RIC") for each past taxable year since it commenced operations and will continue to meet all the requirements for such qualification for its current taxable year; the Assets will be invested at all times through the Effective Time in a manner that ensures compliance with the foregoing; and Target Fund has no earnings and profits accumulated in any taxable year in which the provisions of Subchapter M did not apply to it;
Target Fund s federal income tax returns, and all applicable state and local tax returns, for all taxable years through and including the taxable year ended December 31, 2000 have been timely filed and all taxes payable pursuant to such returns have been timely paid; and

More Definitions of Target Fund

Target Fund shall have the meaning assigned to such term in the preamble. (y) "Target Fund Closing Financial Statements" shall have the meaning assigned to such term in Section 3(e). (z) "Target Fund Common Shares" shall have the meaning assigned to such term in Section 3(m). (aa) "Target Fund Investments" means (i) the investments of the Target Fund shown on the schedule of its investments as of the Valuation Date furnished to the Acquiring Fund and (ii) all other assets owned by the Target Fund or liabilities incurred as of the Valuation Date. (bb) "Valuation Date" shall be 4:00 p.m., Eastern Time, on June 16, 2009, or such earlier or later day and time as may be mutually agreed upon in writing by the parties hereto. 2.
Target Fund has a single class of shares and Acquiring Fund has two classes of shares, Class IA shares and Class IB shares. The reorganization will involve the transfer of the assets of Target Fund, subject to the liabilities of Target Fund, to Acquiring Fund, in exchange solely for Class IA shares of common stock of Acquiring Fund ("Acquiring Fund Shares"), followed by the constructive distribution of those shares pro rata to the holders of shares of Target Fund ("Target Fund Shares"), all on the terms and conditions set forth herein. (All such transactions are referred to herein as the "Reorganization.") In consideration of the mutual promises contained herein, the parties agree as follows:
Target Fund means the M&G Global Leaders Fund relating to Eastspring Investments Global Leaders MY Fund; the M&G Global Basics Fund relating to Eastspring Investments Global Basics MY Fund; the Schroder International Selection Fund Emerging Markets relating to Eastspring Investments Global Emerging Markets Fund and the Eastspring Investments – Dragon Peacock Fund relating to Eastspring
Target Fund has the meaning set forth in the recitals to this Agreement.

Target Fund means the Corporation’s Nuveen Large Cap Growth Opportunities Fund, which is represented by the Corporation’s Class QQ shares.
Target Fund means either (i) a Tax Equity Fund in which the Target Managing Member is the managing member or (ii) a Target Wholly-Owned Subsidiary, as the context requires.
