System Marks definition

System Marks means all service marks, trademarks, copyrights, trade names, logo types, commercial symbols, patents or other similar rights or registrations now or hereafter held, applied for or licensed by Manager or any Affiliate of Manager in connection with the Staybridge Suites, InterContinental, Crowne Plaza or Holiday Inn, as applicable, brand of hotels.
System Marks means the System name and logos together with all trademarks, service marks, copyrights, logos, taglines, slogans, graphics, designs, color schemes, trade dress and other marks associated with the System. For the avoidance of doubt, System Marks may be a combination of the Intellectual Property of the City, Motivate or the Title/Presenting Sponsor, as their interests may appear.
System Marks shall have the meaning set forth in the Property Management Agreement.

Examples of System Marks in a sentence

  • You shall not (in whole or in part) copy, use, register or apply to register any System Marks, or any trademarks, service marks, domain names, logos, company names, trade names or indicia of origin that are similar to the System Marks (including, without limitation, any translation of the System Marks).

  • Pursuant to the preceding sentence, a Party may commence or prosecute any claims or suits for infringement of System Marks in its own name (if it has an ownership interest in the affected System Marks) or join as a party thereto.

  • Each Party will have the sole right to determine whether to institute litigation with respect to any such infringements of System Marks to the extent that a Party has ownership interest in such System Marks, as well as the sole right to select counsel.

  • Franchisee shall not use any element of the System, any of the Trade Secrets, Marks or the operating, management or marketing procedures the Operations Manual contains in connection with the operation of any establishment or enterprise other than the School, and shall promptly discontinue use of the System, Marks, the Trade Secrets and the operating, management and marketing procedures the Operations Manual contains upon the expiration or termination of the franchise.

  • Upon the occurrence of any event that occurs at the Outlet or in the Territory that has caused or may cause harm or injury to customers or employees, or that may damage the System, Marks, or image or reputation of the Franchised Business or us or our affiliates, you must immediately inform our designated contact person as instructed in the Confidential Operations Manual by telephone, e-mail, text or other electronic messaging medium authorized by us for this purpose.

System Marks means all service marks, trademarks, copyrights, trade names, logo types, commercial symbols, patents or other similar rights or registrations now or hereafter held, applied for or licensed by Manager or any Affiliate of Manager in connection with, as applicable, the AmeriSuite or Prime Hotels & Resorts brand of hotels.
System Marks means the System name and logos together with all trademarks, service marks, copyrights, logos, taglines, slogans, graphics, designs, color schemes, trade dress and other marks associated with the System. For the avoidance of doubt, System Marks may be a combination of the Intellectual Property of the City, Operator or the Title/Presenting Sponsor, as their interests may appear. "Task Schedule" is outlined in Exhibit l .B and describes the deadline for Phase I Xxxxxx, Xxxxx 0 Expansion, and Phase 3 Expansion.
