  • If Contractor's performance falls below the minimum level of performance for the same Performance Metric set forth in this Contract for three or more consecutive months (for the monthly metrics), the Contractor shall issue a performance credit of $15,000 against the Department's next monthly invoice, except for 14 (System Availability Percentage), and Performance Metric 15 (Security Incident or Breach Notification Timeliness) whereby the performance credit shall be $30,000.

  • Borrowing Base Utilization Percentage means, as of any day, the fraction expressed as a percentage, the numerator of which is the sum of the Revolving Credit Exposures of the Lenders on such day, and the denominator of which is the Borrowing Base in effect on such day.

  • Revolving Availability means Class A Revolving Availability or Class B Revolving Availability, as applicable.

  • Revolving Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Maturity Date and the date of termination of the Revolving Commitments.
