Synthetic Lease Documents definition

Synthetic Lease Documents means the documents governing the Synthetic Leases.
Synthetic Lease Documents means, collectively, the Master Agreement, dated as of September 30, 1996, among the Sponsor, SunTrust Banks, Inc., as lessor (the "Lessor"), SunTrust Bank, Atlanta and SouthTrust Bank of Georgia, N.A., as lenders, and SunTrust Bank, Atlanta, as agent, the Lease Agreement, dated as of September 30, 1996, between the Lessor and the Sponsor and any supplements thereto, the Construction Agency Agreement, dated as of September 30, 1996, among the Lessor and the Sponsor, the Guaranty, dated as of September 30, 1996, executed by the Sponsor in favor of the Funding Parties (as defined therein), and any and all Security Agreements and Assignments (Construction Contract, Architect's Agreement, Permits, Licenses and Governmental Approvals, and Plans and Specifications and Drawings) executed from time to time by the Sponsor in favor of the Lessor, and any modifications of or replacements for any or all of the foregoing.

Examples of Synthetic Lease Documents in a sentence

  • At or prior to Closing, Seller shall procure or obtain such documents or instruments as may be required in order to terminate the Synthetic Lease with respect to the Subject Property and to release the Subject Property from all liens and encumbrances created pursuant to the Synthetic Lease Documents and the Revolving Credit Documents.

Synthetic Lease Documents means the documents governing the Synthetic Lease Facility, as the same may be amended, restated, supplemented or otherwise modified from time to time.

Synthetic Lease Documents means, collectively, (i) the Amended and Restated Master Agreement, dated as of October 31, 2001, among the Sponsor, SunTrust Banks, Inc., as lessor (the “Lessor”), SunTrust Bank and Wachovia Bank, National Association, formerly known as SouthTrust Bank of Georgia, N.A., as lenders, and SunTrust Bank, as agent, (ii) the Amended and Restated Lease Agreement, dated as of October 31, 2001, between the Lessor and the Sponsor and any supplements thereto, (iii) the Amended and Restated Construction Agency Agreement, dated as of October 31, 2001, among the Lessor and the Sponsor, (iv) the Amended and Restated Guaranty, dated as of October 31, 2001, executed by the Sponsor in favor of the Funding Parties (as defined therein), and (v) any and all security agreements and assignments (Construction Contract, Architect’s Agreement, Permits, Licenses and Governmental Approvals, and Plans and Specifications and Drawings) executed from time to time by the Sponsor in favor of the Lessor, as each of the foregoing may be amended, restated, supplemented, modified or replaced from time to time.
Synthetic Lease Documents means the Operative Documents as defined in the Master Agreement.
Synthetic Lease Documents shall have the meaning specified in the SunTrust Agreement.
Synthetic Lease Documents means the Participation Agreement and the Lease, the Loan Documents and the Trust Agreement (each as defined in the Synthetic Lease Participation Agreement) and any and all documents, agreements and instruments related thereto, each as amended, amended and restated, modified or supplemented to the extent permitted by this Agreement.
