If Gatherer is unable to obtain any such easement/right of way from a Surface Estate Owner, Gatherer may notify the Producers thereof and request that the Producer holding the related Oil and Gas Lease reasonably cooperate with Gatherer in attempting to obtain the needed easement/right of way and such Producer shall so reasonably cooperate with Gatherer.
Without limiting the foregoing or any other provision of this Agreement, Consultant specifically acknowledges its understanding that the Company and PXP may elect to delay providing funding for the Entitlement and development process at any time and/or elect to delay the development of the Montebello Surface Estate for residential purposes despite whether any such delay or abandonment could impact the timing and amount of Entitlement Fees (if any) payable hereunder.
The prospecting work to be conducted under the terms of the mineral extraction lease is fully described in the "Prospecting and Development Plan, Exhibit A", of the mining lease on file in the office of the Commission, The Surface Estate Agreement covers the same area as the mineral extraction lease and allows Homestake to occupy and use the surface estate and the improvements thereto and to comply with the reclamation plans for the surface.
Consultant also acknowledges that it has relied and will be relying on the advice of its own consultants and advisors that in its sole discretion it has deemed appropriate concerning its execution of this Agreement, the development of the Montebello Surface Estate and the viability and suitability of the Montebello Surface Estate for the Company’s intended uses.
The Company agrees to use its reasonable efforts to work with the Consultant toward receipt of the Entitlements and the development and/or sale of the Montebello Surface Estate; provided, however, the parties hereto agree and acknowledge that PXP intends to maximize the value of the Mineral Rights and to develop such Mineral Rights and further agree that the development and/or sale of the Montebello Surface Estate shall be subject to the rights of PXP set forth in Section 8.14.
