Supplier Systems definition

Supplier Systems means any computer, computer network, computer application, imagingdevice, storage device, mobile computing device or software owned, leased or controlled by Supplier or operated by a third party on behalf of Supplier that uses, stores, accesses, processes or transmits Buyer Data or is connected to any computer, computer network, computer application, storage device, mobile computing device or software owned, licensed or leased by Buyer.

Supplier Systems means Supplier Equipment, Supplier Intellectual Property, Supplier Modified Software, Supplier Modified Intellectual Property, and Supplier Software.

Supplier Systems means Supplier’s information systems, processes, facilities, applications, databases, infrastructure, platforms, and networks (a) utilised to provide the Services, (b) collecting, storing, processing, transmitting, accessing or using Bluesource Data, and/or (c) with access to, connection to, use of or otherwise interacting with Bluesource Systems.

• Supplier and its Affiliates and Subcontractors to whom CoreLogic Data is provided shall maintain an industry standard comprehensive data security program, which shall include reasonable and appropriate technical, organizational and security measures against the destruction, loss, unauthorized access or alteration of CoreLogic Data with respect to Supplier Systems that access, process, transmit or store CoreLogic Data and CoreLogic Systems for which Supplier has operational responsibility.

• Supplier acknowledges that it has and shall be responsible for providing sufficient Supplier Systems and Personnel to launch the Program in accordance with the requirements of this Agreement, and Company shall not be responsible for any of Supplier’s costs in connection with such launch; however, if Company insists on a Change in connection with the Program launch that is a customization not required in order to achieve the Program launch, then the provisions of this Section 4.1.9 shall apply.

• At all times during the Term of a Supplement, in addition to any additional requirements set forth in an applicable Supplement, Supplier shall maintain disaster recovery/business continuity plans for Supplier Facilities and Supplier Systems that are consistent with plans of *** providers of similar services.

• Supplier acknowledges that, if requested by Customer in writing, specified employees or Contractors of the Permitted Recipients shall have the right to access the Services (including any Customer Systems and Supplier Systems) to the same extent as Customer Personnel, and to the extent requested by Customer in writing, to interface with Supplier in connection with Supplier’s performance of the Services (“Authorized Users”).

• Upon notice from WaMu, Supplier and Supplier Agents will provide WaMu, WaMu Agents and any regulators of WaMu (“WaMu Auditors”) with access to and any assistance that they may require with respect to the Supplier Service Locations and the Supplier Systems for the purpose of performing audits or inspections of the Services and the business of WaMu relating to the Services, including ***.

More Definitions of Supplier Systems

Supplier Systems means all software and systems used by or on behalf of the Supplier, the Supplier’s Affiliates, any of its or their direct or indirect sub-contractors, or any Authorised User in connection with the provision or receipt any of the SEQual Portal or that the SEQual Portal otherwise, link, inter-operate or interface with or utilise (in each case whether directly or indirectly);

In the Agreement words denoting the singular include the plural and vice versa; words denoting any gender include all genders; references to a month means a calendar month, and monthly shall be interpreted accordingly; reference to a person includes a corporate or unincorporated body (whether or not having separate legal personality); any reference to a statute, statutory provision, subordinate legislation or code of practice is a reference to that statute, statutory provision, subordinate legislation or code of practice as amended, modified or re-enacted from time to time; any reference to a regulatory body includes a reference to any successor or replacement regulatory body; and any phrase or list introduced by the words including, includes, in particular or for example or similar shall be construed as illustrative and shall not limit the generality of the related general words. Supplier Systems refers to Supplier systems that connect to VWGoA’s systems, which are a part of the Supplier’s services to VWGoA, which are critical to VWGoA’s operations, or that process or store VWGoA data. “Supplier product” refers to any product that contains software, hardware, or combination of hardware and software, which VWGoA procures from the Supplier. Supplier Systems means all Software, hardware, plant, machinery, media, cabling and other equipment which is used by the Supplier, any Supplier Affiliate or their Sub-Contractors in connection with the Services excluding the HSBC Systems;
