Supplier IP definition

Supplier IP means all Intellectual Property Rights in and in relation to:

• SCC will be the sole and exclusive owner of all Deliverables including all Intellectual Property Rights therein and thereto, and inclusive of all changes, enhancements or modifications thereto, excluding any Supplier IP contained therein.

• Supplier shall treat all Deliverables as the Confidential Information of SCC, except for any Supplier IP contained therein.

• Furthermore, Confidential Information includes the terms of this Agreement and any PO, the Supplier IP, and the Work Product.

• Netafim shall also be entitled to grant licenses to its customers to use such Supplier IP Rights as related to the operation of Netafim’s products.

• To the extent the Deliverables incorporate any Supplier IP, the terms and conditions of Client’s license to the Supplier IP shall be governed by a separate Software License Agreement.

More Definitions of Supplier IP

Supplier IP means (1) Supplier’s pre-existing or independently developed IP and (2) any third- party IP with respect to which Supplier has sufficient rights to grant to Microsoft the license and sublicense rights contemplated in this Agreement.

Supplier IP means any materials or Intellectual Property Rights created by the Supplier or any of the Supplier’s Personnel prior to the date of the Purchase Order or which are otherwise owned or licensed by the Supplier as at the date of the Purchase Order;
