Supplier Employees definition

Supplier Employees means Synacor’s W-2 employees, who perform Services, act on Synacor’s behalf or are paid by Synacor in connection with the Agreement.
Supplier Employees means any employee, officer, agent or any other person whatsoever acting for or on behalf of the Supplier (including but not limited to Specified Employees) or otherwise under the Supplier’s control and direction (and includes temporary staff, workers, temporary workers, consultants, agents, sub- contractors and third parties) engaged in the provision of the Goods and/or Services; Term means the term of this Contract as set out in the Order Form; Terms and Conditions means these general conditions of purchase;
Supplier Employees means those employees of the Supplier to whom the Employment Regulations will apply on a Service Transfer Date.

  • At least thirty (30) Working Days prior to the Service Transfer Date, the Supplier shall provide to the Customer or at the direction of the Customer to any Replacement Supplier and/or any Replacement Sub-Contractor: the Supplier's Final Supplier Personnel List, which shall identify which of the Supplier Personnel are Transferring Supplier Employees; and the Staffing Information in relation to the Supplier’s Final Supplier Personnel List (insofar as such information has not previously been provided).

  • The Supplier shall, and shall procure that each Sub-Contractor shall, comply with the pensions provisions in the following Annex in respect of any Transferring Former Supplier Employees who transfer from the Former Supplier to the Supplier.

  • The Supplier shall comply with all of its obligations under TUPE and shall perform and discharge all its obligations in respect of all the Former Supplier Employees including all remuneration, benefits, entitlements and outgoings, all wages, accrued but untaken holiday pay, bonuses, commissions, payments of PAYE, national insurance contributions, pension contributions, from and after the Relevant Transfer Date.

  • The Customer and the Supplier further agree that, as a result of the operation of TUPE, the contracts of employment between the Supplier and the Transferring Supplier Employees (except in relation to any contract terms relating to occupational pension schemes) will have effect from the Service Transfer Date as if originally made between the Replacement Supplier and each such Transferring Supplier Employee.

  • Upon selection by Customer, in its sole discretion, of any one or more Supplier Employees, Contractor shall provide required information for each requirement in accordance with the procedures set forth in Exhibit B.

  • At least twenty (20) Working Days prior to the Service Transfer Date, the Supplier shall provide to the Customer or at the direction of the Customer to any Replacement Supplier and/or any Replacement Sub-Contractor: the Supplier's Final Personnel List, which shall identify which of the Supplier Personnel are Transferring Supplier Employees; and the Staffing Information in relation to the Supplier’s Final Personnel List (insofar as such information has not previously been provided).

  • The Customer and the Supplier further agree that, as a result of the operation of TUPE, the contracts of employment between the Supplier and the Transferring Supplier Employees (except in relation to any contract terms exempted through operation of Regulation 10(2) TUPE) will have effect from the Service Transfer Date as if originally made between the Replacement Supplier and each such Transferring Supplier Employee.

  • The Supplier's Final Staff List will identify the Transferring Supplier Employees.

  • Transferring Former Supplier Employees in relation to a Former Supplier, those employees of the Former Supplier to whom the Employment Regulations will apply of the Relevant Transfer Date.


More Definitions of Supplier Employees

Supplier Employees means any employee of the Supplier or of any Supplier Subcontractor assigned from time to time to deliver or assist in delivering all or part of the Supplier Solution or the Contract Services, or to fulfil all or part of the requirements described in the Requirements Description Schedule;
Supplier Employees shall have the meaning set forth in Section 12.5(a);
Supplier Employees means, in relation to GBST, any employee, secondee, agent, principal. contractor and Approved Subcontractor who is an individual, and includes any person who is a prospective employee, secondee, agent, principal, contractor or subcontractor, who has or is to be granted Access; Supplies means all items, deliverables and services to be provided by or on behalf of GBST to the Customer under or in accordance with this agreement including any Schedule, and including GBST Software and Services. Supply has the meaning given to that term in the GST Act.
Supplier Employees means individuals employed by Supplier or any of its Affiliates for the purpose of providing Services hereunder.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.

  • Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Contract employee means a probationary faculty employee or a grant- funded employee hired on a year-to-year basis in accordance with Education Code 87470.

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Prime Contractor employee, as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Transferring Supplier Employees means those employees of the Supplier and/or the Supplier’s Sub-Contractors to whom the Employment Regulations will apply on the Service Transfer Date.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Owner-Employee means a Self-Employed Individual who is a partner and owns more than 10% of either the capital or profits interest of the partnership.

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.
