Supplier Background IP definition

Supplier Background IP means all Intellectual Property Rights owned by or licensed to the Supplier at the commencement of this Contract or created or acquired by or licensed to the Supplier, independently of the performance of this Contract, after the commencement of this Contract.‌
Supplier Background IP means all IPR owned by the Supplier, or to which the Supplier has rights, prior to the Commencement Date.

Examples of Supplier Background IP in a sentence

  • The Supplier represents and warrants that except for amounts included in the Purchase Price, no royalties or other payments are due or payable by the Purchaser to the Supplier or any other person in respect of the Project IP or the Supplier Background IP.

More Definitions of Supplier Background IP

Supplier Background IP means Intellectual Property Rights of the Supplier which: (i) exist prior to the commencement of a Purchase Contract; (ii) were not created pursuant to or in the course of fulfilling the obligations under a Purchase Contract; and (iii) are not derived from, adapted from or otherwise based on any Intellectual Property Rights of Hallite or its Related Bodies Corporate.

Supplier Background IP means IP that is
Supplier Background IP. Means all: (a) methods, concepts, inventions (whether patentable or not), discoveries, systems, processes (including value exchange processes), techniques, methodologies, concepts, know-how, business strategies (including user interfaces, value exchange economics, measurement strategies), data, market research and analysis, databases, tools, templates, technology (including software in executable code and source code), documentation, specifications, designs, or any other information, data or materials, and any expressions of the foregoing, developed by, owned by, or licensed to, the Supplier prior to the commencement of any Service pursuant to this Agreement; and (b) all improvements, enhancements or derivatives to the items described in (a) that are developed by the Supplier independent of the performance of the Services under this Agreement. Supplier Data – All data supplied or provided or made available to SCC (or its Subcontractors) by Supplier (directly or indirectly), including all customer or technical committee information, all data (including Personal Information) and all minutes of meetings, public review comments and other information generated from or derived out of the Supplier’s accredited standards development process. Supplier IP – Has the meaning ascribed to it in Section 6.2. Term – Has the meaning ascribed to it in Section 2.1.
