Supplier Affiliate definition

Supplier Affiliate means any person which is from time to time directly controlled by the Supplier and for this purpose a person is directly controlled by the Supplier if the Supplier beneficially owns shares (or their equivalent) carrying the majority of votes at a general meeting of shareholders (or their equivalent) of the person;

Supplier Affiliate means an entity that owns or controls, is owned or controlled by or is or under common control or ownership with Supplier, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise.

Supplier Affiliate means any entity authorized by Apple to provide Development Deliverables and/or Goods under the Agreement.

Examples of Supplier Affiliate in a sentence

• Buyer shall be entitled at any time to set-off any and all amounts owed by Supplier or a Supplier Affiliate (defined below) to Buyer or a Buyer Affiliate (defined below) on this or any other order.

• Buyer shall be entitled at any time to set off any and all amounts owed by Supplier or a Supplier Affiliate (defined below) to Buyer or a Buyer Affiliate (defined below) on this or any other order.

• Supplier and each Supplier Affiliate may continue to use those Sub-Processors already engaged by Supplier or any Supplier Affiliate as at the date of this Addendum, subject to Supplier and each Supplier Affiliate meeting the obligations set out in this Section and Supplier providing a list of any such Sub-Processors prior to the performance of Services.

More Definitions of Supplier Affiliate

Supplier Affiliate means, with respect to Supplier, an entity controlling, controlled by, or under common control with Supplier by means of direct or indirect majority equity ownership. For purposes of this Agreement, however, “Supplier Affiliate” shall not be construed to include a wireless service provider that is a direct competitor of any Verizon Wireless Affiliate.

Supplier Affiliate means any corporation, partnership, limited liability company, joint venture, association, trust, unincorporated organization or other business entity that is controlled by Company, where “control” means that Company possesses, directly or indirectly, the power to direct or cause the direction of the management policies of the entity, whether through ownership of voting securities, an interest in registered capital, by contract, or otherwise, that is a party to an SOW or is otherwise authorized by Apple to provide Goods or related services under the Agreement.

Supplier Affiliate means IntriCon Corporation, a Pennsylvania corporation, and any corporation or other business entity directly or indirectly (through one or more intermediaries) controlling, controlled by, or under common control with IntriCon Corporation. The term “controlling” (with correlative meanings for the terms “controlled by” and “under common control with”) as used in this definition means either (a) possession of the direct or indirect ownership of more than fifty percent (50%) of the voting or income interest of the applicable corporation or other business entity, or (b) the ability, by contract or otherwise, to control the management of the applicable corporation or other business entity.

Supplier Affiliate means any direct or indirect affiliate, holding company or sister company of the Supplier in which the Supplier’s ultimate parent company (WPP plc) has an ownership interest.

Supplier Affiliate means an entity that owns or controls, is owned or controlled by or is or under common control or ownership with the Supplier, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise.

Supplier Affiliate means any entity (including but not limited to, joint ventures, corporations, limited liability companies, partnerships, limited partnerships, business trusts or other entities, subsidiaries, businesses, operating divisions, units or P&L’s thereof) that is directly or indirectly in control of, controlled by, or under common control with Supplier. Any GE Affiliate, worldwide, which uses the Services and/or Deliverables, whether the right to use passes directly to that entity or not, shall be entitled to all of the rights and interests of GE under this Agreement and may enforce this Agreement in its own name. With respect to SOWs that GE Affiliates directly enter into with Supplier or POs issued by GE Affiliates, each such GE Affiliate shall be severally liable for its obligations under such SOWs and shall be bound by and solely responsible for performance of all of the obligations (including payment obligations) under the SOW (or PO) and this Agreement as it pertains to such SOW; with respect to SOWs that Supplier Affiliates directly enter into with GE or POs issued by GE Affiliates to Supplier Affiliates, Supplier shall be jointly and severally liable for the obligations under such SOWs and shall be bound by and responsible for performance of all of the obligations under the SOW (or PO) as if Supplier had performed itself. Without limitation to the foregoing, neither GE nor any GE Affiliate (other than the GE Affiliate issuing the PO or SOW) shall have liability or be in any way responsible to Supplier or to any other GE Affiliate for any act, omission or failure of either party related to a PO or SOW (including the failure of any other GE Affiliate to fulfill its obligations under a PO or SOW to which it has entered).

Supplier Affiliate means (i) any entity, directly or indirectly, Controlling, Controlled by or under common Control with Supplier. “ Supplier Indemnitee ” is defined in subsection 14.2 (Embarq’s General Third Party Indemnity).
