Supplemental Option definition

Supplemental Option shall have the meaning set forth in Section 4(d).
Supplemental Option means a supplemental Option which may be granted to a Nonemployee Director pursuant to Section 7(d) herein.
Supplemental Option means the option granted to Xxxxxx pursuant to the Supplemental Option Agreement of even date herewith between CEC and Xxxxxx.

  • For purposes of this paragraph only, “Option Value” will equal the product of (x) the Option Reference Price, multiplied by (y) the number of shares of common stock underlying the Supplemental Option.

  • Unless the Administrator determines otherwise, the following terms shall apply: If the Administrator determines that a Supplemental Option is intended to supplement an Initial Option, such Supplemental Option shall be subject to the grant date, Option Price, Option Period, vesting, exercise and other terms and conditions of an Initial Option as provided in Section 7 herein.

  • The number of shares of Common Stock subject to any Supplemental Option to be awarded to a Nonemployee Director shall be reduced by the number of shares, if any, subject to any Supplemental RSUs granted to the Nonemployee Director pursuant to any election the Director has made in accordance with the terms of the Director Compensation Plan.

  • The Supplemental Option will vest with respect to one-third (1/3) of the Supplemental Option Shares at the end of the fifth, sixth and seventh (5th, 6th and 7th) years following the date of grant, provided that you continue to be employed by the Company on each such date.

Related to Supplemental Option

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Supplemental Terms means the product specific supplemental terms and conditions which include additional or different terms and conditions to those in the Cloud GTCs for the provision of specific Cloud Services which are made available on http://www.sap.com/company/legal.

  • Director Option means an Option granted pursuant to Section 6.

  • Supplemental Retirement Plan means (i) the Company’s Amended and Restated Supplemental Executive Retirement Plan, (ii) the Company’s Supplemental Management Retirement Plan, (iii) the Company’s Amended and Restated Top Hat Restoration Plan, and (iv) the Company’s Defined Contribution Restoration Plan.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Supplemental Transfer Date For any Supplemental Transfer Agreement, the date the related Supplemental Mortgage Loans are transferred to the Trust Fund pursuant to the related Supplemental Transfer Agreement.

  • Supplemental Retirement Benefit means the benefit determined under Article V of this Plan.

  • Company Stock Option Plan means each stock option plan, stock award plan, stock appreciation right plan, phantom stock plan, stock option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any stock, option, warrant or other right to purchase or acquire capital stock of the Company or right to payment based on the value of Company capital stock has been granted or otherwise issued.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.

  • Option means a stock option granted pursuant to the Plan.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Eligible Shares means each Share issued and outstanding immediately prior to the Effective Time, other than (a) subject to the last sentence of Section 4.2(f), any Excluded Shares, and (b) any Company Restricted Shares.
