Sufficient Shares definition

Sufficient Shares means the smallest number of Shares that, when sold, will produce an amount at least equal to the relevant Tax Liability (after deduction of brokerage and any other charges or taxes on the sale);

  • If an Option Holder does not fulfil his obligations under either Rule 9.1(a) or Rule 9.1(b) in respect of any Tax Liability arising from the exercise of an Option within seven days after the date of exercise and Shares are readily saleable at that time, the Grantor shall withhold Sufficient Shares from the Shares which would otherwise be delivered to the Option Holder.

  • Participant hereby appoints the Company (acting by any of its directors from time to time) as Participant’s attorney to sell Sufficient Shares, deal with the proceeds of that sale and execute any joint UK EMPLOYEESelection required to be entered into under Section 9 in Participant’s name and on Participant’s behalf and execute any documents that would be required by the Company's or any Parent’s or Subsidiary’s constitution or organizational documents.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Relevant Shares means ordinary share capital of the Approved Entity that constitutes equity share capital or the equivalent (or depositary or other receipts representing the same) which is listed and admitted to trading on a Regulated Market.

  • Payment Shares has the meaning set forth in Section 2.02;

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Purchase Shares has the meaning set forth in Section 2.5(c).

  • Common Shares means the common shares in the capital of the Company;

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Conversion Shares means, collectively, the shares of Common Stock issuable upon conversion of the shares of Preferred Stock in accordance with the terms hereof.

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Purchased Securities has the meaning assigned in the Terms;

  • Note Shares means the shares of Common Stock issuable upon conversion of the Notes.

  • Underlying Shares means the shares of Common Stock issued and issuable upon conversion of the Preferred Stock and upon exercise of the Warrants.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Company Shares has the meaning set forth in the Recitals.

  • Forward Purchase Shares shall have the meaning given in the Recitals hereto.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.
