Substantive Amendment definition

Substantive Amendment is defined to include the following: (a) any change to the Term of this Agreement; (b) any changes to the permitted uses of the Project or the density and/or intensity of use of the Project; (c) any changes to provisions in this Agreement or the Project Approvals related to reservation or dedication of land or easements; (d) any changes to provisions in this Agreement or the Project Approvals related to monetary contributions or payments by Landowner; (e) a material amendment to the Affordable Housing Plan or Phasing Plan; or (f) any other proposed amendment reasonably determined by the County Executive Officer (or the City Manager as to any portion of the Property that has been annexed to the City) to be a Substantive Amendment. If a Substantive Amendment is required, the County (or City, if applicable), in its reasonable discretion, may withhold or suspend any Subsequent Approval until the approval of the Substantive Amendment is final.
Substantive Amendment means the adoption of any material amendment to, the deletion or repeal of, or the adoption of any provision materially inconsistent with, any of the following sections of the Restated Bylaws: 2.2(a), 2.6(a), 2.6(c), 3.1, 3.2, 3.3, 3.6, 3.7, 3.8, 3.9(a), 3.10, 3.12(a), 3.14(a), 4.1(a), 4.2, 4.3, 4.5(a), 4.7(a), 4.8(a), 5.1, 5.2(a), 5.3(a), 5.4(a), 5.6(a) and 8.1.

More Definitions of Substantive Amendment

Substantive Amendment means any change to the Development Plan or the Manufacturing Plan other than a Non-Substantive Amendment, such as: (i) the addition to the Development Plan of any new Clinical Study, (ii) the deletion of any Clinical Study from the Development Plan, (iii) any amendment which is likely to result in a delay to any time-specific action forming part of the Development Plan or the Manufacturing Plan of more than six (6) months, and (iv) any other amendment which has any substantial effect on the timing, quality or costs of the activities thereby affected; and
