  • Neither the Depositor nor the Trust Administrator nor the Trustee shall permit the creation of any “interests” (within the meaning of Section 860G of the Code) in any REMIC other than the Certificates, the Subsidiary REMIC Regular Interests and the Middle Tier Interests.

  • The Trustee acknowledges the transfer and assignment to it of the Trust Fund and acknowledges the issuance of the Subsidiary REMIC Regular Interests as described in the Preliminary Statement and the Class A-LR and Class A-UR Certificates in exchange therefor.

  • The Subsidiary REMIC will issue uncertificated REMIC regular interests (the "Subsidiary REMIC Regular Interests").
