Subsidiary Investment definition

Subsidiary Investment means with respect to any Subsidiary or Joint Venture the sum of (x) loans to such Person by Hovnanian or a Restricted Subsidiary and (y) Hovnanian’s or a Restricted Subsidiary’s share of equity in such Person. Subsidiary Shares shall have the meaning assigned to that term in Section 5.1.2 [Subsidiaries].
Subsidiary Investment shall have the meaning given to such term in Section 9.10(i) hereof.
Subsidiary Investment means, with respect to the Borrower, any investment in the form of equity (whether in cash or otherwise) by the Borrower in a Person which is, or after giving effect to such contribution will be, a Subsidiary.

For purposes of this definition, “control” of a Person means the power, directly or indirectly, to direct or cause the direction of the management and policies of such Person whether by contract or otherwise.
