Subscription Documents definition

Subscription Documents means with respect to any Investor, its Subscription Agreement and Side Letter, as applicable.
Subscription Documents mean any subscription agreements (or the equivalent), investor questionnaires, purchase applications, related agreements and similar materials (and any forms, correspondence and other documents ancillary thereto) relating to a Fund’s investments in Portfolio Funds.
Subscription Documents means this Subscription Agreement, its exhibits, and any documents incorporated by reference therein. Capitalized words that are used but not defined in this Agreement have the meaning given them in the Limited Partnership Agreement of the Fund.

  • All representations and warranties contained in this Agreement or made in writing by Subscriber or by the Company in connection with this Agreement or the Subscription Documents will survive the execution and delivery of this Agreement, any investigation at any time made by or on behalf of the Company or Subscriber, and the issuance and sale of the Shares.

  • The Offering Materials and the Subscription Documents constitute the entire agreement between the parties concerning Subscriber’s investment in the Company pursuant to the Offering Circular.

More Definitions of Subscription Documents

Subscription Documents means, with respect to a Purchaser, a Subscription Agreement duly completed by the Purchaser together with all applicable duly completed schedules to the Subscription Agreement in the forms attached thereto and any other forms or documents required under Securities Laws or any other Applicable Laws;
Subscription Documents means and includes the Note, Securities Purchase Agreement and all related documents executed in connection therewith, including, without limitation, any amendments to any of the foregoing.
Subscription Documents means, individually and collectively as the case may be, this Agreement, and all such other documents as the Company may require in connection with the Subscription, if any.
Subscription Documents means the Subscription Agreement, along with the instructions attached to the Subscription Agreement, and any other documents or agreements executed or delivered in connection therewith, each of which shall be in form and substance reasonably satisfactory to the Debtors, the other Plan Proponents and the Investor.
Subscription Documents means this Agreement, any other documents or agreements executed in connection with the transactions contemplated hereunder.
Subscription Documents means the subscription agreement and other documents provided by an investor in the offering described in the Memorandum, including the subscription agreement for the purchase of Interests.
