SUBMITTED MATERIALS. As defined in Section 5.2 of this Agreement.
SUBMITTED MATERIALS. As defined in Section 5.2 of this Agreement. "SUBSIDIARY": With respect to any Person, any entity of which securities or other ownership interests having ordinary voting power to elect a majority of the board of directors or other body performing similar functions are at any time directly or indirectly owned by such Person or, in the case of a Cable System, the right to direct the management or operation of such Cable System pursuant to a management agreement with a term of at least three years, for so long as such management agreement remains in effect; provided that, Licensee shall notify Licensor in writing immediately when it ceases management of any such Cable System. Telephone Services shall include the ability to terminate a telephone call. "TRADE DRESS": The general image or appearance of the Licensed Marks and of the Licensed Services and Marketing Materials or Promotional Products and any packaging and labeling therefor, including without limitation, the combination of colors, designs, sizing configurations, publication formats and the like as set forth in the Style Guidelines and as such trade dress may be modified or replaced pursuant to Section 8.2 of this Agreement, and such other trade dress as may be added thereto or substituted therefor in accordance with Section 8.2. "TW LICENSEES": Those Persons and business units that are part of Licensor as of the Closing and any other Persons who are licensed under, or otherwise permitted to use, the Licensed Marks by Licensor. "TWE": As defined in the Preamble. 9 <PAGE> "TWE BROADBAND BUSINESS" has the meaning assigned to it in the TWE Distribution Agreement. "TWE DISTRIBUTION AGREEMENT": The Distribution Agreement, dated as of the date hereof by and between Time Warner Entertainment Company, L.P., a Delaware limited partnership, Warner Communications Inc., a Delaware corporation, and AOL Time Warner Inc., a Delaware corporation.   • Notwithstanding the foregoing, Writer understands and acknowledges that the entity to which Writer is providing the Submitted Materials may not be a signatory to the Writers Guild of America Theatrical and Television Basic Agreement.

  • We cannot be responsible for maintaining any Submitted Materials that you provide to us, nor are we responsible for any information included in any Submitted Materials (for example, without limitation, a blog post or any comments to blog(s) created or posted by users), and we may delete or destroy any such Submitted Materials at any time.

  • We may use third parties to provide services in connection with Submitted Materials.

  • SPE shall, during the development or production of a Picture, submit to Marvel screenplays, storyboards, special effects tests, dailies or other materials in which Approvable Elements are depicted or contained ("Submitted Materials").

  • By submitting or posting any User Information, photograph, video, and/or Submitted Materials or by using the Web Site you acknowledge and agree that, in the event that it becomes necessary or advisable for us to defend ourselves, in a court of law or otherwise, with respect to any such User Information, photograph, video, and/or Submitted Materials, or you engage in any prohibited conduct, as described below, we may rely on your representations and warranties contained herein.

  • Except as may be expressly permitted in connection with one of the Web Site’s services, you also may not offer to buy or sell any product or service on or through your Submitted Materials.

SUBMITTED MATERIALS means all goods, data, deliverables, output, and materials that are submitted or required to be submitted by the Contractor or its Representatives to the City in the performance of the Work, and all copyright therein.

  • Adapted Material means material subject to Copyright and Similar Rights that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified in a manner requiring permission under the Copyright and Similar Rights held by the Licensor. For purposes of this Public License, where the Licensed Material is a musical work, performance, or sound recording, Adapted Material is always produced where the Licensed Material is synched in timed relation with a moving image.

  • Regulated Materials means any hazardous, toxic or dangerous waste, substance or material, the generation, handling, storage, disposal, treatment or emission of which is subject to any Environmental Law.

  • Printed Materials means all artwork and mechanicals set forth on the disc label of the PlayStation Disc relating to any of the Licensed Products and on or inside any Packaging for the Licensed Product, and all instructional manuals, liners, inserts, trade dress and other user information to be inserted into the Packaging.

  • Harvested Material means the grain or fodder from crops of the Licensed Varieties grown from Seed or Retained Seed.

Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Recyclable Materials means materials that are separated from mixed municipal solid waste for the purpose of recycling or composting, including paper, glass, plastics, metals, automobile oil, batteries, source-separated compostable materials, and sole source food waste streams that are managed through biodegradative processes. Refuse-derived fuel or other material that is destroyed by incineration is not a recyclable material. (Minn. Stat. § 115A.03, Subd. 25a)

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).
