Subject Transactions definition

Subject Transactions has the meaning ascribed to such term in the definition of “Pro Forma Basis”.

Subject Transactions means (i) any acquisition consummated prior to the filing hereof, including, without limitation, the acquisitions of Mr. Help Informatica S/C Ltda., Zupernet Ltda. and Redescape, L.L.C., (ii) the Consulting Agreement, dated as of May 27, 1999 by and between the Corporation and Brian Reale and (iii) the conversion of Tutopia Stock into Common Stock pursuant to the Tutopia Stockholders Agreement.

Subject Transactions has the meaning assigned to such term in clause 1(g) of the definition of “Consolidated EBITDA”.

Examples of Subject Transactions in a sentence

• The Guarantor is not subject to any Order which would materially impair its ability to consummate the Subject Transactions.

Subject Transactions means all of the transactions contemplated by this Agreement, including:
