Subject Stock definition

Subject Stock has the meaning ascribed to such term in Section 5(a).
Subject Stock means both the Company’s Common Stock and Class A Common Stock. Equity percentages relative to the Subject Stock shall refer to the combined equity of Common Stock and Class A Common Stock.
Subject Stock means (i) all the issued and outstanding capital stock of IPHC and (ii) 52,068 common shares, par value of $1,000 pesos each, of ABSA, of which 39,561 shares correspond to Series "B," 50 of them representing the fixed portion of the capital stock without a right of withdrawal, and 12,507 shares correspond to Series "T."

  • For the avoidance of doubt, each Stockholder shall retain at all times following the termination of this Agreement the right to vote any Subject Stock in such Stockholder’s sole discretion, and without any other limitation, on any matters that are at any time or from time to time presented for consideration to the holders of Company Common Stock following the termination of this Agreement.

  • Notwithstanding any provision of this Agreement to the contrary, this Agreement shall apply to each Stockholder solely in its capacity as a holder of Subject Stock and not in any other capacity.

Subject Stock means (i) prior to a Mandatory Conversion Date, Senior Preferred Stock and (ii) on and following a Mandatory Conversion Date, Series B Preferred Stock.
Subject Stock as used herein, shall mean the number of shares of Common Stock owned by the Holders which shall have been purchased by any Holder (a) under the Stock Purchase Agreement at the Closing (as such term is defined therein), (b) under the Clal Stock Purchase Agreement or (c) upon any exercise of the Options. Subject Stock means shares of stock acquired by the Employee through the exercise of the Options.
Subject Stock means all of the shares of Class B Common Stock of CCI sold by CCI to the Employee subject to the terms and conditions of this Agreement; and any and all shares of stock or other securities or property of CCI or any other corporation or entity issued upon conversion of, with respect to, or in substitution for the Subject Stock as the result of any stock dividend, stock split, recapitalization, liquidation, merger, consolidation or reorganization, but not including dividends paid in cash upon the Subject Stock; and any certificate representing an interest in a voting trust holding the Subject Stock.
