Subgroup Parent definition

Subgroup Parent is amended to read as follows:
Subgroup Parent means each of Liberty, International, Technology, --------------- TCIC, TCICI, Starz, CT and any other First-Tier Subsidiary formed or acquired after the date hereof.
Subgroup Parent means each of Liberty, International, Technology, TCIC, TCICI, Starz, CT and any direct wholly-owned subsidiary of TCI formed or acquired after the date hereof.

Examples of Subgroup Parent in a sentence

  • An amount determined to be payable separately as federal income tax by the Subgroups having taxable income under Paragraph 1, and subject to any adjustment under Paragraphs 6, 7, 8 and 9, shall upon notice to the Subgroup Parent be payable to the Parent, within a reasonable time as set forth in paragraph 11.

  • Upon notice from the Parent to the Subgroup Parents of the amount of the Subgroups’ share of the estimated or actual tax payment to be made, each Subgroup Parent shall make payment of its share to the Parent, provided that such required payment to the Parent shall not significantly, and in no case by more than ten business days, precede the time that a consolidated estimated or actual current tax liability would be due to the tax authorities.

  • On the date that any Subgroup Parent ceases to be a member of the TCI Group (the "Deconsolidation Date"), TCI shall pay to such Subgroup Parent an amount equal to any credit balance in the Intercompany Account attributable to such Subgroup Parent, and such Subgroup Parent shall pay to TCI an amount equal to any debit balance in such Intercompany Account, after which payment such Intercompany Account shall be closed.

  • Subgroup Parent also has a separate tax sharing agreement with AIG (“Parent”), which provides that AIG will not charge Subgroup Parent a greater portion of the consolidated tax liability than would have been paid by the Chartis Subgroup if it had filed a separate federal income tax return.

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Constellation has the meaning assigned to that term in the Recitals.

  • Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Ultimate Parent Entity means a Constituent Entity of an MNE Group that meets the following criteria:

  • Intermediate Holding Company means any Subsidiary of Holdings (of which Holdings, directly or indirectly, owns 100% of the issued and outstanding Equity Interests) that, directly or indirectly, owns 100% of the issued and outstanding Equity Interests of the Lead Borrower.

  • CCI means Charter Communications, Inc., a Delaware corporation, and any successor Person thereto.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Acquisition Subsidiary shall have the meaning set forth in the Preamble.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Intermediate Holdco as defined in the preamble to this Agreement.

  • Holdco has the meaning set forth in the Preamble.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.
