Sub-Servicing Agreement definition

Sub-Servicing Agreement. The written contract between the Servicer and a Sub-Servicer relating to servicing and administration of certain Mortgage Loans as provided in Section 3.02.

Sub-Servicing Agreement means any written contract entered into between a Servicer and any Sub-Servicer pursuant to and in accordance with the Servicing Agreement.

Sub-Servicing Agreement. Any servicing agreement between the Master Servicer or a Servicer and a Sub Servicer pursuant to which the Master Servicer or a Servicer delegates any of its servicing responsibilities with respect to any of the Mortgage Loans.

• Each Sub-Servicing Agreement and all Modifications thereto and the selection of the Sub-Servicer, regardless of whether the Sub­ Servicer is an Affiliate of the Servicer, shall be subject to the prior written approval of the Manager (which approval shall not be unreasonably withheld, delayed or conditioned so long as the provisions required under Section 4.2 are not modified or deleted).
