Examples of Straddle Periods in a sentence
The Seller and the Buyer shall jointly control, in good faith with each other, audits and disputes relating to Straddle Periods.
Buyer shall prepare and file, or cause to be prepared and filed, any Tax Return of any Sale Entity for all Straddle Periods (“ Buyer Tax Returns”).
Any such Tax Returns that are for Pre-Closing Tax Periods or Straddle Periods shall be prepared and filed in a manner consistent with past practice, unless otherwise required by Law, and shall be submitted to the Sellers for its review at least 30 days prior to the due date of such Tax Return (taking into account applicable extensions).
For purposes of this Agreement, with respect to any Acquired Asset, the Sellers and the Purchaser shall apportion the liability for real and personal property Taxes, ad valorem Taxes, and similar Taxes (“ Periodic Taxes”) for Straddle Periods applicable to such Acquired Asset in accordance with this Section 8.1(b).
All such Tax Returns that relate to Straddle Periods shall be prepared and all elections with respect to such Tax Returns that relate to Straddle Periods shall be made, to the extent permitted by applicable Law, in a manner consistent with past practice.
