Straddle Period Return definition

Straddle Period Return has the meaning set forth in Section 6.7(b).

Straddle Period Return means any Tax Return for a Straddle Period.

• If Seller agrees with the Straddle Period Return and Straddle Statement, then Seller shall pay to Purchaser, not later than 5 Business Days before the due date for the payment of Taxes with respect to such Straddle Period Return, an amount equal to the Pre-Closing Taxes as shown on the Straddle Statement.

• Buyer shall deliver to Selling Parties for Selling Parties’ review, comment and approval any Straddle Period Return at least thirty (30) days before the due date (including extensions) for filing the Straddle Period Return.
