Stockholder Notice definition

Stockholder Notice has the meaning given to it in Section 5.1(b).

Stockholder Notice. Is defined in Section 6.5(b).

Stockholder Notice means a written notice that complies with the requirements of this Section 2.5(iii) and is given by or on behalf of an Eligible Stockholder.

• In no event shall the public announcement of an adjournment or postponement of an annual meeting commence a new time period (or extend any time period) for the giving of a Stockholder Notice as described above.

• In the event that one or more vacancies for any reason occurs after the date of the Stockholder Notice but before the annual meeting and the Board resolves to reduce the size of the Board in connection therewith, the Permitted Number shall be calculated based on the number of directors in office as so reduced.

• In no event shall any adjournment or postponement of an annual meeting of stockholders, or the announcement thereof, commence a new time period (or extend any time period) for the giving of the Stockholder Notice as described above.

Stockholder Notice means a notice given by or on behalf of an Eligible Stockholder that specifies the name of the Stockholder Nominee(s) nominated for election or reelection to the Board of Directors in accordance with this Section 13.
