Stockholder Director definition

Stockholder Director means a Director designated by the Stockholder pursuant to this Agreement.
Stockholder Director means a Director who was designated by the Xxxx Designator for election or appointment as a Director. The parties agree that Xxxx (who shall be a Class III Director) and Xxxxx Xxxxx (who shall be a Class I Director) shall be Directors as of the Effective Time (provided if any such individual is unwilling or unable to serve as a Director of the Company or is not a Qualified Designee as of the Effective Time, such individual shall be replaced by a Qualified Designee designated by the Xxxx Designator, provided that such replacement is a Qualified Designee), and such Directors shall constitute the initial Stockholder Directors.
Stockholder Director has the meaning set forth in Section 4.5.

  • Whenever notice is required to be given to a Stockholder, Director or other person under the provisions of these Bylaws, the Certificate or applicable statute, a waiver in writing signed by, or an electronic transmission given by, the person or persons entitled to the notice, whether before or after the date and time stated in the notice, and delivered to the Corporation, shall be equivalent to giving the notice.

More Definitions of Stockholder Director

Stockholder Director means an individual elected to the Board that has been nominated by the Stockholder, or its permitted assignees, as applicable, pursuant to this Agreement.
Stockholder Director means an individual elected to the Board that has been nominated by the Stockholders holding a majority of the Stockholders Shares, or their permitted assignees, as applicable, pursuant to this Agreement.
