Stock Price Hurdle definition

Stock Price Hurdle means $[***] per share (subject to any adjustment as provided in the Plan).
Stock Price Hurdle is based on the volume-weighted average stock price of a share of Company Common Stock over 30 consecutive trading days during the Performance Period, with such calculation determined by the Compensation Committee’s compensation consultant using the S&P Capital IQ data service or similar successor data service. Volume-weighted average stock price will be calculated by using (i) the total trading volume for each day (as opposed to the volume associated with each individual trade) and (ii) the Company’s closing stock price for each day in the calculation.
Stock Price Hurdle means the highest Market Value per Share that is maintained during any period of 65 consecutive trading days that fall within the applicable Performance Period. For purposes of this Agreement, any Stock-Price Hurdle that is achieved during a period of 65 consecutive trading days that commences in one Performance Period and ends in another Performance Period will be deemed to have been achieved in the later Performance Period. Further, following achievement of any Stock-Price Hurdle during one Performance Period, the number of PRSUs earned with respect to such Stock-Price Hurdle cannot subsequently be earned upon achievement of the same Stock-Price Hurdle during any subsequent Performance Period.

Examples of Stock Price Hurdle in a sentence

  • For purposes of illustration and without limitation, if the First Stock Price Hurdle has not been achieved as of the date on which the Average Closing Stock Price equals the Second Stock Price Hurdle, then as of such date, both the First Tranche and the Second Tranche shall become earned.

  • First Tranche Later of (i) the first anniversary of the Date of Xxxxx and (ii) the next Regular Vesting Date after the First Stock Price Hurdle is achieved, subject to the Participant’s continued Services through such date.

  • Second Tranche Later of (i) the second anniversary of the Date of Xxxxx and (ii) the next Regular Vesting Date after the Second Stock Price Hurdle is achieved, subject to the Participant’s continued Services through such date.

  • Except as otherwise set forth in this Agreement, any shares subject to a portion of the award that is subject to a Stock Price Hurdle that is not achieved by the four-year anniversary of the Grant Date shall be forfeited to the Company.

Related to Stock Price Hurdle

  • Stock Price shall have the meaning specified in Section 14.03(c).

  • Beginning Stock Price means the average of the closing prices of the Common Stock or the shares of the Peer Group, as applicable, for the 20 trading days ending on the trading date immediately preceding the first day of the Performance Period.

  • Common Stock Price means, as of a particular date, the average of the Fair Market Value of one share of Common Stock over the fifteen (15) consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Ending Stock Price means the average of the closing prices of the Common Stock or the shares of the Peer Group, as applicable, for the 20 trading days up to and including (if a trading day) the last day of the Performance Period.

  • Closing Stock Price means the Stock Price as of the last day of any Performance Measurement Period.

  • Average Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock, as such price is reported on the NYSE Composite Transaction Tape (as reported by Bloomberg Financial Markets or such other source as the parties shall agree in writing), for the 15 trading days ending on the third trading day immediately preceding the Effective Time.

  • Make-Whole Acquisition Stock Price means the consideration paid per share of Common Stock in a Make-Whole Acquisition. If such consideration consists only of cash, the Make-Whole Acquisition Stock Price shall equal the amount of cash paid per share of Common Stock. If such consideration consists of any property other than cash, the Make-Whole Acquisition Stock Price shall be the average of the Closing Price per share of Common Stock on each of the 10 consecutive Trading Days up to, but not including, the Make-Whole Acquisition Effective Date.

  • Parent Stock Price means the average of the closing sale prices for a share of Parent Common Stock as quoted on the Nasdaq National Market (“Nasdaq”) for the five (5) consecutive trading days ending with the second trading day that precedes the Closing Date.

  • Share Value means $25.00 plus declared and unpaid dividends as at the date of the Trigger Event.

  • Measurement Date means the most recent Payment Date specified in the first column of the Cumulative Net Loss Rate Table.

  • Total Stockholder Return means the total return (change in share price plus reinvestment of any dividends) of a share of the Company’s common stock.

  • Average Closing Price means the average of the closing market prices of a Share over the last five (5) Market Days on which transactions in the Shares were recorded on the SGX-ST immediately preceding the date of the Market Purchase by the Company or, as the case may be, the date of the making of the offer pursuant to the Off-Market Purchase, and deemed to be adjusted for any corporate action that occurs after the relevant five-day period; and

  • Relative Total Shareholder Return or “Relative TSR” means the Company’s TSR compared to the Peer Companies TSR on a relative basis. The Company and the Peer Companies from highest to lowest according to their respective TSRs will determine Relative TSR. After this ranking, the percentile performance of the Company relative to the Peer Companies will be determined using the Percentrank formula in Microsoft Excel.
