Stock Certificates definition

Stock Certificates has the meaning set forth in Section 2.2(a)(ii).

Stock Certificates. Collateral consisting of certificates representing Capital Stock of any Subsidiary of the Borrower for which a security interest can be perfected by delivering such certificates.

Stock Certificates means Collateral consisting of certificates representing Equity Interests of the Borrowers and the wholly owned Domestic Subsidiaries of the Loan Parties (other than Immaterial Subsidiaries) (provided that Holdings and the Borrowers shall not be required to deliver Stock Certificates constituting Excluded Property) for which a security interest can be perfected by delivering such certificates, together with undated stock powers or other appropriate instruments of transfer executed in blank for each such certificate.

Examples of Stock Certificates in a sentence

• If Buyer is to receive any rights to water pursuant to § 2.7.2 (Other Rights Relating to Water), 77 § 2.7.3 (Well Rights), § 2.7.4 (Water Stock Certificates), or § 2.7.5 (Water and Sewer Taps), Seller agrees to convey such rights to 78 Buyer by executing the applicable legal instrument at Closing.
