The Plan is an ESOP, which is a Stock Bonus Plan that is designed to invest primarily in Employer Stock.
In the event that the Employee’s employment and/or Employment Term ends on account of the Employee’s Disability, the Company shall pay or provide the Employee with the Accrued Benefits, the Prior Year Bonus, the Pro-Rata Bonus, and the outstanding Company equity and long-term incentive awards shall become vested (and delivered) as set forth in Section 7(a)(viii) and (ix) above and, if the termination occurs prior to January 1, 2018, the Company shall pay the Employee the Stock Bonus.
