Statement of Rights definition

Statement of Rights means, in relation to each class of Preferred Shares, a memorandum approved by the Directors setting out the specific rights and obligations attaching to the Preferred Shares of such class that are in addition to those rights and obligations contained in and determined in accordance with these Articles; and
Statement of Rights has the meaning given to that term in article 2.4. Transmission Event 1 for a member who is an individualthe member’s death, the member’s bankruptcy, or a member becoming of unsound mind, or a person who, or whose estate, is liable to be dealt with in any way under the laws relating to mental health; and 2 for a member who is a body corporate – the insolvency, bankruptcy or dissolution of the member or the succession by another body corporate to the assets and liabilities of the member. Uncertificated in relation to a share, means a share title to which is recorded in the register as being held in uncertificated form and title to which, by virtue of the CREST Order, may be transferred by means of a relevant system.
Statement of Rights means the statement of rights in relation to a Class of Preferred Securities, as adopted by the Board of Directors pursuant to the Articles of Association. The Statement of Rights amends and supplements the Articles of Association and contains the terms of the relevant Class of Preferred Securities.

More Definitions of Statement of Rights

Statement of Rights means a document in the form set out in Schedule 1 which has been agreed to and adopted by the parties;
