Stated Price definition

Stated Price means *** per share (subject to adjustment to reflect stock splits, combinations and other similar events affecting the shares of Kintera common stock). The obligations of the Indemnifying Parties in this Section 8 represent *** for any breach of any of the representations, warranties or covenants made by Seller or the Founders in this Agreement, as well as any Adjustment Amount.
