Any legal or equitable suit, action, or proceeding arising out of or relating to this Agreement shall be instituted in the federal courts of the United States of America or the courts of the State of Domicile, in each case, located in the county in which the city designated on the Proposal is located.
If no city is designated in the Proposal, then the State of Domicile shall be Kansas, and the courts in which an action may properly be instituted shall be those federal or state courts located in or having jurisdiction over Xxxxxxx County, Kansas.
