Prior to maturity, each ZONES is exchangeable at the holders' option for an amount of cash equal to 95% of the market value of Sprint PCS Stock.
Sprint PCS means any or all of the following Related Parties who are License holders or signatories to the Management Agreement: Sprint Spectrum L.P., a Delaware limited partnership, WirelessCo, L.P., a Delaware limited partnership, SprintCom, Inc., a Kansas corporation, PhillieCo Partners I, L.P., a Delaware limited partnership, PhillieCo, L.P., a Delaware limited partnership, Sprint Telephony PCS, L.P., a Delaware limited partnership, Sprint PCS License, L.L.C., a Delaware limited liability company, American PCS Communications, LLC, a Delaware limited liability company, and APC PCS, LLC, a Delaware limited liability company. Any reference in the Management Agreement or Services Agreement to Xxx Communications PCS, L.P., a Delaware limited partnership, or Xxx PCS License, L.L.C., a Delaware limited liability company, is changed to Sprint Telephony PCS, L.P., a Delaware limited partnership, or Sprint PCS License, L.L.C., a Delaware limited liability company, respectively, to reflect name changes filed with the Delaware Secretary of State in 2002.
VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.
licensed distributor means any holder of a distribution licence.
SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.
Sprint means a set period of time during which specific work is realized and made ready for review.
Covered Units means, with respect to each Unitholder, such Unitholder’s Existing Units, together with any WMLP Common Units that such Unitholder becomes the Record Holder or beneficial owner of on or after the date hereof.
Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.
Common Shares means the common shares in the capital of the Corporation;
Buyer Stock means the common stock, par value $0.0001 per share, of Buyer.
Coop Shares Shares issued by a Cooperative Corporation.
Net Shares means the number of shares of Common Stock which will be deposited in a brokerage account in the Grantee’s name at the Company’s designated broker after shares have been withheld to satisfy applicable tax and withholding requirements upon vesting of the Restricted Stock Units.
Co-op Shares Shares issued by private non-profit housing corporations.
Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.
SDS means safety data sheets;
Service Switching Point (SSP means the telephone Central Office Switch equipped with a Signaling System 7 (SS7) interface.
Dividend Parity Stock means any class or series of stock of the Corporation that ranks on a parity with the Series E in the payment of current dividends, including the Series A, the Series B, the Series C and the Series D.
RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”
Interexchange Carrier (IXC means a carrier that provides, directly or indirectly, interLATA or intraLATA Telephone Toll Services.
Common Stock means the common stock of the Company.
Customer Content means all software, data (including personal data), information, text, images, audio, video, photographs, non-AVEVA or third-party applications, and other content and material, in any format, provided by Customer, any of Customer’s users, or on behalf of Customer that is stored in, or run on or through, the Products and Support Services.
Wireless service provider means a person that provides wireless service to the public.
Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Section 5.3.
