Sponsor Warrants definition

Sponsor Warrants shall have the meaning given in the Recitals hereto.
Sponsor Warrants means the Warrants to purchase up to 4,166,667 Ordinary Shares of the Company that are acquired by the Sponsor for an aggregate purchase price of $3.125 million, or $0.75 per Warrant in a private placement that shall occur simultaneously with the consummation of the Offering; and (vi) “Trust Account” shall mean the trust fund into which a substantially all of the net proceeds of the Offering shall be deposited and that will be held by Continental Stock Transfer & Trust Company, as trustee.

  • The Company has duly authorized the issuance and sale of the Sponsor Warrants to the Purchaser.

Sponsor Warrants means the aggregate of 9,750,000 warrants issued by Boulevard at a price of $1.00 per warrant, in a private placement that occurred simultaneously with the completion of the initial public offering of Boulevard, as shall be converted to warrants exercisable for Ordinary Shares in connection with the consummation of the transactions contemplated by the Business Combination Agreement.
