Sponsor Members shall have the meaning set forth in the LLC Agreement

Sponsor Members shall have the meaning given in the Preamble hereto.

Sponsor Members means members or affiliates of the Sponsor who hold Registrable Securities, including members of the Sponsor who receive Registrable Securities upon the dissolution of Sponsor and become Holders hereunder in accordance with Section 7.2.

Examples of Sponsor Members in a sentence

• Each of the Sponsor Members shall be considered a third party beneficiary of the representations, warranties and agreements of the Management Members made in this Agreement, entitled to take any action against any Management Member as if such Sponsor Member were the Company hereunder.

• The Earnout Shares shall become fully vested such that they shall be released from escrow pursuant to such escrow agreement, and delivered to be held directly by the Sponsor Members immediately upon the satisfaction of the vesting and forfeiture as described below.

• Upon a transfer by the Sponsor pursuant to subsection (i) to Sponsor Members, the rights that are personal to the Sponsor shall be exercised by the Sponsor Members only with the consent of the Sponsor’s board of managers in accordance with the Sponsor’s operating agreement.

• Subject to the provisions of Section 10 of the Plan, the maximum aggregate number of Shares which may be optioned and sold under the Plan is 100,000 Shares (the “Pool”).

• Upon the Termination of Employment, the Company and the Sponsor Members (as defined in the Members Agreement) shall have the rights to purchase all or a portion of the Shares in accordance with the terms of Article IV of the Members Agreement.

More Definitions of Sponsor Members

Sponsor Members has the meaning set forth in Section 2.16(a).

Sponsor Members means, collectively, the BlackRock Members and the Highfields Members and “Sponsor Member” means, individually, any BlackRock Member or Highfields Member.

Sponsor Members means the members of the Sponsor listed on the signature pages hereto under the caption “Sponsor Members”.

Sponsor Members means those Members who are members of the BCP Investor Group, the Apollo Investor Group or the GS Investor Group.
