Specified Qualifications definition

Specified Qualifications means the following: (a) all instances of the word “material” in Section 4.04, (b) both instances of the phraseMaterial Adverse Effect” (including the use of the word “Material” in the defined term and all instances of the word “material” in the definition thereof) in Section 4.05, (c) the instance of the word “material” in Section 4.11(b)(iii), and (d) use of the word “Material” when used as the first word of the defined term “Material Contract”.
Specified Qualifications means the following: (i) the instance of the phraseMaterial Adverse Effect” in Section 3.7(b); (ii) the instance of the word “material” in the last sentence of Section 3.8; (iii) the instance of the word “materially” in the last sentence of Section 3.9(a); (iv) all instances of the word “material” in Section 3.11(a); (v) the Qualifications in Section 3.12(b) immediately following the reference to Schedule 3.12(b) of the Seller Disclosure Letter but only as applied to clause (iii) of Section 3.12(b); (vi) all Qualifications in Section 3.12(c); (vii) the use of the word “material” in the first sentence of Section 3.14(a); (viii) the first instance of the word “material” in Section 3.15(f); (ix) the instance of the word “material” in Section 3.18(a); (x) the use of the word “material” when used as the first word of the defined terms “Material Adverse Effect” and “Material Contract” and (xi) the use of the word “material” when used as the first word of the defined terms “Material Permit” and “Material Commingled Contract.”
Specified Qualifications means each of the following: (a) the instances of the word “material” in Section 4.3(b); (b) all instances of the word “material” in Section 4.5(a); (c) the instances of the word “materially” in Section 4.6; (d) the instance of the word “material” in the second sentence of Section 4.9(a); (e) the instance of the word “material” in the second sentence of Section 4.9(c); (f) the instance of the word “material” in Section 4.11(a); (g) the instance of the word “material” in Section 4.12(a) and Section 4.12(c); (h) the instance of the word “material” in Section 4.13(b); (i) the instance of the phraseMaterial Adverse Effect” in Section 4.16(a) and the instance of the word “material” in Section 4.16(b); (j) the use of the word “materially” or “material” when used in defining the terms “Material Adverse Effect”, “Assigned Material Contract”, “Material Shared Contracts”, and “Material Contracts”; and (k) the use of the word “Material” when used as part of a capitalized defined term herein.

Examples of Specified Qualifications in a sentence

  • Each Borrower agrees that the Temporary Waiver Rate is consideration for the waiver of the Specified Qualifications by the Lenders during the Temporary Waiver Period and does not constitute a penalty.

  • Eligible Representations means those representations identified within the “Tests” included in Schedule B.

  • Municipal Structures Act means the Local Government: Municipal Structures Act, 1998 (Act No. 117 of 1998);

  • MREL Disqualification Event means that, at any time, all or part of the outstanding nominal amount of Securities is or will be excluded fully or partially from the eligible liabilities available to meet the MREL Requirements provided that: (a) the exclusion of a Series of such Securities from the MREL Requirements due to the remaining maturity of such Securities being less than any period prescribed thereunder, does not constitute a MREL Disqualification Event; (b) the exclusion of all or some of a Series of Securities due to there being insufficient headroom for such Securities within a prescribed exception to the otherwise applicable general requirements for eligible liabilities does not constitute a MREL Disqualification Event; and (c) the exclusion of all or some of a Series of Securities as a result of such Securities being purchased by or on behalf of the Issuer or as a result of a purchase which is funded directly or indirectly by the Issuer, does not constitute a MREL Disqualification Event.

  • Company Representations means the representations and warranties of the Company expressly and specifically set forth in Article IV of this Agreement, as qualified by the Company Schedules. For the avoidance of doubt, the Company Representations are solely made by the Company.
