Specified Officer definition

Specified Officer means the Chairman, the Chief Executive Officer, the President, the Chief Financial Officer, the Secretary, the Treasurer and the General Counsel of Xxxxxxx-Xxxxxx International, and any other executive officer identified as such in Xxxxxxx-Xxxxxx International’s annual report on Form 10-K filed pursuant to the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder.

Specified Officer of either Borrower means any of the chief executive officer, the president, the chief operating officer, the chief financial officer, the treasurer or any assistant treasurer of such Borrower.

Specified Officer means the chief executive officer, president, chief financial officer or general counsel of a Loan Party.

Examples of Specified Officer in a sentence

• To the knowledge of any Specified Officer, there is no proposed tax assessment against any of the Loan Parties or any of the Subsidiaries that would, if made, have a Material Adverse Effect.

• The Company’s obligation to recover Excess Incentive Compensation from a Specified Officer is not dependent on if, or when, the applicable restated financial statements are filed.

• For the avoidance of doubt, any Excess Incentive Compensation received by a Specified Officer that has subsequently been forfeited prior to payment thereof (including as a result of termination of employment or breach of contract) shall be deemed to have been repaid in accordance with this Recovery Policy.

Specified Officer means any Responsible Officer, the Secretary and General Counsel of the Borrower, and any other executive officer identified as such in the Borrower’s annual report on Form 10-K filed pursuant to the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder.

Specified Officer means such officer of U.S. Vision as U.S. Vision may specify to Lender in writing. Each Obligor agrees that any request made or other function specified herein to be made or performed by a Specified Officer shall be deemed made or performed by and on behalf of all Obligors.
