Specified Guarantor definition

Specified Guarantor means any Guarantor that is not an “eligible contract participant” under the Commodity Exchange Act (determined prior to giving effect to Section 11.12).
Specified Guarantor means any Guarantor that is not an “eligible contract participant” under the Commodity Exchange Act (determined prior to giving effect to Section 2.8 hereof).

More Definitions of Specified Guarantor

Specified Guarantor has the meaning given thereto in the Guaranty.
Specified Guarantor means any Guarantor that would be a "significant subsidiary" of the Borrower, determined in accordance with Regulation 1.01 of Regulation S-X of the Securities and Exchange Commission as if the references to "10 percent" in the definition thereof were references to "5 percent".
Specified Guarantor means any Guarantor designated in writing by Borrower to Agent as a “Specified Guarantor” so long as (a) no such “Specified Guarantor” individually has, as of the date of such designation (the “Designation Date”) (i) EBITDA allocated to such Specified Guarantor (in a manner reasonably satisfactory to Agent) that is greater than $1,000,000 for the four fiscal quarter period ended most recently prior to such Designation Date for which financial statements were required to have been delivered to Agent, or (ii) assets with a value greater than $5,000,000, measured as of the lower of fair market value and book value (or if fair market value thereof is not reasonably available, book value) as of such Designation Date, and (b) the Specified Guarantors in the aggregate do not have, as of such Designation Date, EBITDA allocated to such Specified Guarantors in the aggregate (in a manner reasonably satisfactory to Agent) that is greater than $3,000,000 for the four fiscal quarter period ended most recently prior to such Designation Date for which financial statements were required to have been delivered to Agent.
Specified Guarantor has the meaning set forth in the definition of “Guarantor”.
Specified Guarantor means each of Federal Express Corporation, FedEx Ground Package System, Inc., FedEx Freight Corporation, FedEx Freight East, Inc., FedEx Kinko’s Office and Print Services, Inc., FedEx Corporate Services, Inc. and FedEx Customer Information Services, Inc. “Stated Maturity,” with respect to any Security or any installment of principal thereof or premium, if any, or interest thereon or any Additional Amounts with respect thereto, means the date established by or pursuant to this Indenture or such Security as the fixed date on which the principal of or premium, if any, on such Security or such installment of principal, premium or interest is, or such Additional Amounts are, due and payable.
